Share Price Event definition

Share Price Event means the occurrence, as of the close of business on any Scheduled Trading Day, of the Market Reference Price of any Pledged Shares being equal to or less than the Minimum Price for such Shares.

Share Price Event means the occurrence on any Exchange Day at the close of trading of the Market Reference Price of the Common Shares being equal to or less than the Minimum Price.

Share Price Event has the meaning set forth in Section 7.01.

Examples of Share Price Event in a sentence

• At the option of Citibank, any Unwind Period that had commenced prior to the start of the Unwind Period for such Share Price Event and not terminated shall terminate on the Trading Day prior to the start of the Unwind Period for such Share Price Event.

• The Commitments shall automatically terminate upon the earlier to occur of (i) the expiration of the Second Additional Loan Period to the extent that a Share Price Event has not occurred by then and (ii) the earlier to occur of (x) the making of the Second Advance and (y) immediately following the seventh day after the end of the Second Additional Loan Period during which a Share Price Event occurred (in each case, unless terminated sooner in accordance with the provisions hereof).

• Upon the occurrence of a Share Price Event Termination the Affected Party shall be the Company and GS&Co. shall be the Non-Affected Party.

• For purposes of "Optional Unwind" and "Maturity Termination," and unless Citibank (in the case of "Share Price Event," "Credit Event" or "Partial Termination Event") elects to terminate an Unwind Period in effect in accordance with the last sentence of such paragraphs, any Daily Transfer Amount for which an Unwind Period is in effect shall be deemed not outstanding for purposes of determining the Outstanding Aggregate Amount to be subject to such an Unwind Period.

• Notwithstanding anything to the contrary set forth in this paragraph 5, the obligation of Citibank to accumulate additional Tranche Amounts shall be suspended on any date when (i) a Share Price Event or Credit Event (each as defined in paragraph 7) has occurred on or before such date or (ii) an Event of Default, Potential Event of Default or Termination Event with this Transaction as an Affected Transaction has occurred and is continuing.

More Definitions of Share Price Event

Share Price Event means that the 10b-18 VWAP is below the Threshold Price for two consecutive Trading Days. Notwithstanding anything to the contrary in Section 6 of the Agreement, if a Share Price Event occurs, then an Additional Termination Event will automatically occur without any notice or action by Seller or Purchaser and the Trading Day that the 10b-18 VWAP is below the Threshold Price will be the “Early Termination Date” for purposes of the Agreement.

Share Price Event shall occur if the Closing Price of the Common Stock, par value $0.01 per share, equals or is greater than $1.00 per share on at least (x) twenty (20) Trading Days out of thirty (30) consecutive Trading Days beginning on the Conversion Price Calculation Date (the “Initial Additional Loan Period”) or (y) twenty (20) Trading Days out of thirty (30) consecutive Trading Days beginning immediately after the Initial Additional Loan Period ends (“Second Additional Loan Period”), in each case, provided that the Borrower is not in possession on the date on which the Second Advance is to be made of material non-public information that has not been previously disclosed to the public.

Share Price Event shall occur if the Closing Price on any Trading Day is equal to or less than $8.00 per share (subject to adjustment pursuant to paragraph 8(c) ("Adjustment Events")). Upon the occurrence of a Share Price Event, Citibank shall be entitled to commence an Unwind Period with respect to the entire Outstanding Aggregate Amount two Business Days after delivery of notice by Citibank to Counterparty of such event. Such Unwind Period shall commence on a Trading Day and end on and include a Trading Day, each as designated by Citibank. At the option of Citibank, any Unwind Period that had commenced prior to the start of the Unwind Period for such Share Price Event and not terminated shall terminate on the Trading Day prior to the start of the Unwind Period for such Share Price Event.

Share Price Event means as of the Valuation Time on any three Valid Days during a period of five consecutive Valid Days the price per Share is (i) equal to or less than 60% of the price per Share as of the Valuation Time on the Trade Date (the “Initial Share Price”) or (ii) equal to or greater than 170% of the Initial Share Price.

Share Price Event means, on any Exchange Business Day or Extended MDE Day, that the Closing Sale Price for such Exchange Business Day is less than the Share Price Trigger Threshold.

Share Price Event means the occurrence on any Exchange Day at the close of trading of the Market Reference Price of any Shares being equal to or less than the Minimum Price for such Shares.
