The Shared Facilities Manager shall deliver a detailed invoice to the Co-Tenants for their respective Pro Rata Share of the applicable Shared Expenses and any Directly Assigned Expenses on a monthly basis, on or before the tenth (10th) day of each month, for the expected amount to be incurred for all Shared Expenses under Section 6.1 for the immediately following month.
If the Shared Facilities O&M Budget is approved by all Co-Tenants and the Shared Facilities Manager, the Shared Facilities O&M Budget will be the Approved Shared Facilities O&M Budget for the following year.
The Shared Facilities Manager shall allocate the costs of the selected transmission operator’s services in accordance with Exhibit F – Set 4 attached to the SFA, and incorporated herein by reference.
If a Co-Tenant objects to all or any portion of the proposed Shared Facilities O&M Budget, the Co-Tenant shall furnish the Shared Facilities Manager and other Co-Tenants in writing, the reasons for such objections and shall immediately commence discussions with the Shared Facilities Manager and the other Co-Tenants in an effort to reach an Approved Shared Facilities O&M Budget.
In connection with the financing of each Project, each Co-Tenant (including the Shared Facilities Manager) will, upon the reasonable request of a Co-Tenant, provide customary estoppels and consents in favor of lenders or other finance parties, including rights of step-in with respect to a Co-Tenant’s obligations under this Agreement and rights to concurrent notice of an Event of Default.
Except in the event of an Emergency, the Shared Facilities Manager shall have the right to pre-invoice the Co-Tenants for any materials and components required to be provided hereunder, and not to proceed with the acquisition of such materials and components unless payment has been received by the Shared Facilities Manager for such materials and components.
