Short Term Warrant definition

Short Term Warrant means the Common Stock purchase warrants, in the form of Exhibit E delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Warrants shall be exercisable on the date hereof and until the earlier of the 6 month anniversary of the Effective Date and the 13 month anniversary of the date hereof.
Short Term Warrant means the warrant to purchase additional shares of Preferred Stock and Long Term Warrants, in the form of Exhibit E delivered to Crestview at the Closing in accordance with Section 2.2(a)(vi) hereof, which Short Term Warrants shall be exercisable immediately and have a term of exercise equal to the earlier of (i) the one year anniversary of the Effective Date and (ii) the two year anniversary of the date hereof.
Short Term Warrant means a warrant registered in the names of the Purchasers to purchase a number of shares of Common Stock equal to 50% of such Purchaser’s Shares, with an exercise price equal to $1.60, subject to adjustment as described therein, and that is exercisable upon satisfaction of the conditions set forth therein and will terminate on the Termination Date (as defined therein), in substantially the form attached as Exhibit B.

  • In the event of a conflict between the signed construction documents prepared by ENGINEER and electronic files, the signed or sealed hard-copy construction documents shall govern.

  • Wherever possible, each provision of this Short Term Warrant shall be interpreted in such manner as to be effective and valid under applicable law, but if any provision of this Short Term Warrant shall be prohibited by or invalid under applicable law, such provision shall be ineffective to the extent of such prohibition or invalidity, without invalidating the remainder of such provisions or the remaining provisions of this Short Term Warrant.

  • Upon the surrender of this Short Term Warrant and the payment of the aggregate principal, the Securities so purchased shall be and be deemed to be issued to such Holder as the record owner of such shares as of the close of business on the later of the date of such surrender or payment.

  • No provision hereof, in the absence of any affirmative action by Holder to exercise this Short Term Warrant or purchase Securities, and no enumeration herein of the rights or privileges of Holder, shall give rise to any liability of Holder for the purchase price of any Common Stock or as a stockholder of the Company, whether such liability is asserted by the Company or by creditors of the Company.

  • A Short Term Warrant, if properly assigned, may be exercised by a new holder for the purchase of Securities without having a new Short Term Warrant issued.

  • Federal short-term rate means the rate of the average market yield on outstanding marketable obligations of the United States with remaining periods to maturity of three years or less, as determined under section 1274 of the Internal Revenue Code, for July of the current year.

  • Short-Term U.S. Government Securities means U.S. Government Securities maturing within one year of the applicable date of determination.

  • Adjusted Term SOFR means, for purposes of any calculation, the rate per annum equal to (a) Term SOFR for such calculation plus (b) the Term SOFR Adjustment; provided that if Adjusted Term SOFR as so determined shall ever be less than the Floor, then Adjusted Term SOFR shall be deemed to be the Floor.
