Short Term Warrant definition

Short Term Warrant means the Common Stock purchase warrants, in the form of Exhibit E delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Warrants shall be exercisable on the date hereof and until the earlier of the 6 month anniversary of the Effective Date and the 13 month anniversary of the date hereof.
Short Term Warrant means the warrant to purchase additional shares of Preferred Stock and Long Term Warrants, in the form of Exhibit E delivered to Crestview at the Closing in accordance with Section 2.2(a)(vi) hereof, which Short Term Warrants shall be exercisable immediately and have a term of exercise equal to the earlier of (i) the one year anniversary of the Effective Date and (ii) the two year anniversary of the date hereof.
Short Term Warrant means a warrant registered in the names of the Purchasers to purchase a number of shares of Common Stock equal to 50% of such Purchaser’s Shares, with an exercise price equal to $1.60, subject to adjustment as described therein, and that is exercisable upon satisfaction of the conditions set forth therein and will terminate on the Termination Date (as defined therein), in substantially the form attached as Exhibit B.

  • On the Closing Date, upon the terms and subject to the conditions set forth herein, the Company agrees to sell, and each Purchaser agrees to purchase, a Debenture in the principal amount equal to such Purchaser's Subscription Amount, and a Long Term Warrant and Short Term Warrant as described in Section 2.2(a).

  • Description of the Warrant Units Each Warrant Unit will consist of one Newco Short Term Warrant and one Newco Longer Term Warrant.

  • Subject to compliance with Section 4(a), as to any transfer which may be involved in such division or combination, the Company shall execute and deliver a new Short Term Warrant or Short Term Warrants in exchange for the Short Term Warrant or Short Term Warrants to be divided or combined in accordance with such notice.

  • The Company may at any time during the term of this Short Term Warrant reduce the then current Conversion Price to any amount and for any period of time deemed appropriate by the Board of Directors of the Company.

  • Short-term acute care facility means a facility or Hospital that provides care to people with medical needs requiring short-term Hospital stay in an acute or critical setting such as for recovery following a surgery, care following sudden Sickness, Injury, or flare-up of a chronic Sickness.

  • Federal short-term rate means the rate of the average market yield on outstanding marketable obligations of the United States with remaining periods to maturity of three years or less, as determined under section 1274 of the Internal Revenue Code, for July of the current year.

  • Short-Term Resource Procurement Target means, for Delivery Years through May 31, 2018, as to the PJM Region, for purposes of the Base Residual Auction, 2.5% of the PJM Region Reliability Requirement determined for such Base Residual Auction, for purposes of the First Incremental Auction, 2% of the of the PJM Region Reliability Requirement as calculated at the time of the Base Residual Auction; and, for purposes of the Second Incremental Auction, 1.5% of the of the PJM Region Reliability Requirement as calculated at the time of the Base Residual Auction; and, as to any Zone, an allocation of the PJM Region Short-Term Resource Procurement Target based on the Preliminary Zonal Forecast Peak Load, reduced by the amount of load served under the FRR Alternative. For any LDA, the LDA Short-Term Resource Procurement Target shall be the sum of the Short-Term Resource Procurement Targets of all Zones in the LDA.

  • Short-Term U.S. Government Securities means U.S. Government Securities maturing within one year of the applicable date of determination.

  • Rule 15c2-12 means Rule 15c2-12 under the Securities Exchange Act of 1934, as amended through the date of this Undertaking, including any official interpretations thereof.

  • Short-Term Money Market Instruments means the following types of instruments if, on the date of purchase or other acquisition thereof by the Corporation, the remaining term to maturity thereof is not in excess of 180 days:

  • Qualifying Warrants means net share settled warrants to purchase Common Stock that have an exercise price greater than the current Market Value of the issuer’s Common Stock as of their date of issuance, that do not entitle the issuer to redeem for cash and the holders of such warrants are not entitled to require the issuer to repurchase for cash in any circumstance.

  • Rule 159A “Rule 405” and “Rule 415” mean, in each case, such rule promulgated under the Securities Act (or any successor provision), as the same shall be amended from time to time.
