Specified Benefit Plan any employee benefit plan within the meaning of section 3(3) of ERISA and any other plan, arrangement or agreement which provides for compensation, benefits, fringe benefits or other remuneration to any employee, former employee, individual independent contractor or director, including any bonus, incentive, supplemental retirement plan, golden parachute, employment, individual consulting, change of control, bonus or retention agreement, whether provided directly or indirectly by any Loan Party or otherwise.
Specified Benefit Plan means those Benefit Plans identified with an asterisk on Section 2.12(a) of the Parent Disclosure Letter, which Benefit Plans shall be Retained Benefit Plans.
Specified Benefit Plan means the Seller’s Pension Plan and the Seller’s OPEB Plans.

  • With respect to each Specified Benefit Plan, the Company has, to the extent applicable, provided to Parent documents that are substantially comparable (taking into account differences in applicable Law and practices) to the documents required to be provided by this Section 3.9(a).

  • Qualified Benefit Plan has the meaning set forth in Section 3.20(c).
