Specified Obligors definition

Specified Obligors means any Obligor with respect to one of the six largest Accounts in the Trust calculated on the basis of the amount of Principal Receivables in such Account. The percentages specified in this definition and the manner of determining the Specified Obligors may be adjusted from time to time without the consent of the Certificateholders and no such adjustment shall be deemed an amendment of the terms hereof, but shall be an adjustment in accordance with the terms hereof if, prior to each adjustment, the Rating Agency Condition is satisfied for such adjustment.

Specified Obligors means any Obligor with respect to one of the six largest Accounts in the Trust calculated on the basis of the amount of Principal Receivables in such Account. Specified Obligors means Intabex Netherlands B.V., a private limited liability company (besloten vennootschap met beperkte aansprakelijkheid) incorporated under the laws of the Netherlands, Alliance One International Xxxxx B.V., a private limited liability company (besloten vennootschap met beperkte aansprakelijkheid) incorporated under the laws of the Netherlands, and their respective Subsidiaries.

• Directly or indirectly enter into or ---------------------------- permit to exist any material transaction with any Affiliate of the Specified Obligors, except for transactions that are in the ordinary course of the applicable Specified Obligor's business, that are upon fair and reasonable terms, that are fully disclosed to Agent, and that are no less favorable to such Specified Obligor than would be obtained in an arm's length transaction with a non-Affiliate.

• Technology The prompt and punctual payment of any and all amounts due and payable directly or indirectly from time to time by the Specified Obligors to any SF Group Company under the relevant Finance Agreement (other than where such amounts have become due and payable solely and directly as a result of the insolvency or liquidation of the Bispen).

• Should any payment item not be honored when presented for payment, then the Specified Obligors shall be deemed not to have made such payment and interest shall be calculated accordingly.

• The Specified Obligors have registered (or an ---------------- application therefor diligently prosecuted) with the United States Copyright Office all copyrights constituting the Required Library.
