Specified Proceedings definition

Specified Proceedings means the proceedings which have been initiated or may be initiated under section 11, section 11B, section 11D, sub-section (3) of section 12 or section 15-I of the Act or section 12A or section 23- I of the Securities Contracts (Regulation)Act, 1956 or section 19 or section 19H of the Depositories Act, 1996, as the case may be;

Specified Proceedings means any and all of the claims, investigations, proceedings and litigation matters set forth on Schedule 8.03(cc). (dd) a “Subsidiary” of any person means another person, an amount of the voting securities, other voting rights or voting partnership interests ofwhich is sufficient to elect at least a majority of its board of directors or other governing body (or, if there are no such voting interests, more than 50% ofthe equity interests of which) is owned directly or indirectly by such first person; provided, that the parties hereto acknowledge and agree that none of Bakkt Holdings, Inc., a Delaware corporation, or any of its Subsidiaries is a Subsidiary of Parent; (ee) “Tax Matters Agreement” means the tax matters agreement entered into by and among Fidelity National Financial, Inc., New BKH Corp., and Black Knight Holdco Corp. dated June 8, 2017; and (ff) “Transactions” means the transactions contemplated by this Agreement, including the Merger and the Debt Financing. SECTION 8.04. Interpretation.(a) When a reference is made in this Agreement to an Article, a Section or Exhibit, such reference shall be to an Article or a Section of, or an Exhibit to, this Agreement unless otherwise indicated. The table of contents and headings contained in this Agreement are for reference purposes only and shall not affect in any way the meaning or interpretation of this Agreement.(b) Whenever the words “include,” “includes” or “including” are used in this Agreement, they shall be deemed to be followed by the words “without limitation.” The words “hereof,” “herein” and “hereunder” and words of similar import when used in this Agreement shall refer to this Agreement as a whole and not to any particular provision of this Agreement. The word “or” when used in this Agreement is not exclusive. (c) When a reference is made in this Agreement or the Company Disclosure Letter or Parent Disclosure Letter to information or documents being provided, made available or disclosed to Parent or its Affiliates or the Company or its Affiliates, as applicable, such information or documents shall include any information or documents (i) included in the Company Filed SEC Documents or Parent Filed SEC Documents, as applicable, or(ii) otherwise provided in writing (including electronically) to Parent or its Affiliates or the Company or its Affiliates, as applicable, at least two (2) days before the date of this Agreement. Specified Proceedings means the following:

Examples of Specified Proceedings in a sentence

• Commencement of Action for Specified Proceedings in the Mohegan Tribal Courta.

• Commencement of Action for Specified Proceedings in GDC and MTC 2§6A.

• The Company has made available to Parent: (A) copies of all documents providing indemnification and related obligations of the respective Acquired Corporations with respect to the Specified Proceedings; (B) any insurance coverage that applies to any of the Specified Proceedings; and (C) all Contracts that are material to any of the foregoing.
