Sponsor Investment definition

Sponsor Investment means direct or indirect investments in Shares made by the Sponsor Stockholders on or after the Closing Date, but excluding any purchases or repurchases of Shares on any securities exchange or any national market system after an IPO. Any direct or indirect investments in Shares made by the Sponsor Stockholders after the Closing Date shall be included in this definition except in the event and to the extent that the Sponsor Stockholders waive such inclusion herein for any purpose under this Plan.
Sponsor Investment means direct or indirect equity investments in the Company made by the Sponsors, but excluding any purchases or repurchases of equity interests on any securities exchange or any national market system after an Initial Public Offering. The term “Sponsor Investment” excludes any investment originally made by the Sponsors in a Person other than the Company or a Subsidiary.
Sponsor Investment has the meaning specified in the Recitals hereto.

More Definitions of Sponsor Investment

Sponsor Investment means an investment in Borrower by Sponsor of cash in exchange for such class or classes of equity securities of Borrower, and in such manner and on such terms and subject to such conditions, as CODI and Borrower shall agree.
