Sponsor Investment definition

Sponsor Investment means direct or indirect investments in Shares made by the Sponsor Stockholders on or after the Closing Date, but excluding any purchases or repurchases of Shares on any securities exchange or any national market system after an IPO. Any direct or indirect investments in Shares made by the Sponsor Stockholders after the Closing Date shall be included in this definition except in the event and to the extent that the Sponsor Stockholders waive such inclusion herein for any purpose under this Plan.

Sponsor Investment means direct or indirect equity investments in the Company made by the Sponsors, but excluding any purchases or repurchases of equity interests on any securities exchange or any national market system after an Initial Public Offering. The term “Sponsor Investment” excludes any investment originally made by the Sponsors in a Person other than the Company or a Subsidiary.

Sponsor Investment has the meaning specified in the Recitals hereto.

Examples of Sponsor Investment in a sentence

• Sponsor, Investment Manager, Trustee, valuer, directors of the Trustee or Investment Manager or sponsor, etc.

• Each Term Sheet must contain detailed descriptions of the M&A Transaction, Asset Purchase, Plan Sponsor Investment and Plan (collectively, as applicable, the “Transaction”) that are the subject of such Term Sheet.

• The Cash received from the Plan Sponsor Investment shall be contributed to the Reorganized Debtors on the Effective Date.

• Plan Sponsor Investment Option Advisory Fee: AUL may bill the Owner for a Plan Sponsor Investment Option Fee.

More Definitions of Sponsor Investment

Sponsor Investment means an investment in Borrower by Sponsor of cash in exchange for such class or classes of equity securities of Borrower, and in such manner and on such terms and subject to such conditions, as CODI and Borrower shall agree.

Sponsor Investment means direct or indirect investments in primary issuance(s) of Shares or other securities or loans of the Company made by the Sponsor on or after the Closing Date.

Sponsor Investment means an investment in the form of an equity contribution, in an aggregate amount of cash of U.S.$35,000,000, directly or indirectly from the Sponsor to the Borrower made on the Closing Date in order to meet certain conditions to the funding of the Bridge Facility Debt.

Sponsor Investment means, as of any time of determination, without duplication, the aggregate of the purchase price paid or contributions made by Apax (on a cumulative basis and including, for the sake of clarity, amounts that are used to fund any transaction related fees, costs and/or expenses) with respect to or in exchange for equity or other securities issued by the Company or its Subsidiaries from, or in connection with, the Closing through the time of such determination.

Sponsor Investment means that portion (i.e., $200,000) of the capitalization of the Corporation contributed by the Sponsor or its Affiliates pursuant to Section II.A. of the NASAA REIT Guidelines.

Sponsor Investment means, as of a date of determination, (a) the amount of WCAS XI’s cash investment in Parent pursuant to the Contribution Agreement, plus (b) the amount of any additional cash investment by WCAS XI in Parent prior to such date of determination.
