Sponsor Loan Documents definition

Sponsor Loan Documents. As defined in Section 4.1.1(d) of the Common Agreement.
Sponsor Loan Documents means the “Loan Documents”, as defined in the Sponsor Agreement, and as in effect on the date hereof.
Sponsor Loan Documents means this Agreement, the Sponsor Support Agreement, and any other agreement, instrument or document executed pursuant hereto or thereto.

  • All financial calculations to be made under, or for the purposes of, this Agreement and the other Sponsor Loan Documents shall be determined in accordance with the Common Agreement.

  • In the event of any conflict or inconsistency between the provisions of this Agreement and the provisions of the Sponsor Loan Documents or the Bank Group Loan Documents, the provisions of this Agreement shall control.

Sponsor Loan Documents means the “Loan Documents”, as defined in the Sponsor Agreement, and as in effect on the date hereof. “Termination Date” means the earliest to occur of (i) July 20, 2013 (as such date may be accelerated or extended by the Sponsor in its sole discretion), (ii) the date on which the Merchant Financial Services Agreement is terminated, (iii) the date on which Sponsor receives written notice of termination of the Sponsor Agreement from the Borrower, (iv) the date on which the Sponsor notifies the Borrower in writing that the Sponsor Agreement has been terminated and (v) the date that any Insolvency Proceeding is commenced with respect to any Credit Party. “Uniform Commercial Code” or “UCC” shall mean the Uniform Commercial Code (or any similar or equivalent legislation) as in effect from time to time in the State of New York.

Related to Sponsor Loan Documents

  • Senior Loan Documents means the loan agreement between Borrower and Senior Creditor and any other agreement, security agreement, document, promissory note, UCC financing statement, or instrument executed by Borrower in favor of Senior Creditor pursuant to or in connection with the Senior Debt or the loan agreement, as the same may from time to time be amended, modified, supplemented, extended, renewed, restated or replaced.

  • Existing Loan Documents means the “Loan Documents” as defined in the Existing Credit Agreement.

  • Term Loan Documents means the “Loan Documents” as defined in the Term Loan Agreement.

  • DIP Loan Documents means the Replacement DIP Loan Documents (as defined in the DIP Order).

  • Second Lien Loan Documents means the Second Lien Credit Agreement and the other “Loan Documents” under and as defined in the Second Lien Credit Agreement, as each such document may be amended, renewed, restated, supplemented or otherwise modified from time to time.

  • Financing Documents means collectively the documents evidencing Lenders’ commitment to finance the Project.

  • Debt Financing Documents means the agreements, documents and certificates contemplated by the Financing, including all credit agreements, loan documents, purchase agreements, underwriting agreements, indentures, debentures and notes pursuant to which the Financing will be governed or contemplated by the Debt Commitment Letter.

  • Refinancing Documents means each of the agreements, documents and instruments entered into in connection with the Refinancing.

  • Credit Agreement Documents means the collective reference to any Credit Agreement, any notes issued pursuant thereto and the guarantees thereof, and the collateral documents relating thereto, as amended, supplemented, restated, renewed, refunded, replaced, restructured, repaid, refinanced or otherwise modified, in whole or in part, from time to time.

  • Senior Credit Documents means the collective reference to the Credit Agreement, the notes issued pursuant thereto and the guarantees thereof, and the collateral documents relating thereto, as amended, supplemented or otherwise modified from time to time.
