Sponsor Registrable Securities definition

Sponsor Registrable Securities means the Registrable Securities held by a Sponsor, its Affiliates and any Person to whom it transfers or assigns its rights hereunder in accordance with Section 5.1(b).
Sponsor Registrable Securities means all shares of Common Stock owned by a Sponsor Holder, including any shares of Common Stock received in connection with the Transaction, other than shares of Common Stock (i) Transferred by a Sponsor Holder in a transaction in which the Sponsor Holder’s rights under this Agreement are not assigned, (ii) Transferred pursuant to an effective registration statement under the Securities Act, (iii) Transferred in a transaction exempt from the registration and prospectus delivery requirements of the Securities Act (including transactions under Rule 144, or a successor thereto, promulgated under the Securities Act) so that all transfer restrictions and restrictive legends with respect thereto, if any, are removed upon the consummation of such transaction or (iv) that are eligible for resale without restriction (including any limitation thereunder on volume or manner of sale) and without the need for current public information pursuant to any section of Rule 144 (or any similar provision then in effect) under the Securities Act, unless such Sponsor Registrable Securities are held by a Sponsor Holder that beneficially owns shares of Common Stock representing 5% or more of the aggregate voting power of shares of Common Stock eligible to vote in the election of directors of the Company. The Sponsor Registrable Securities are subject to the rights provided herein until such rights terminate pursuant to the provisions thereof.
Sponsor Registrable Securities means all of the Registrable Securities held by any Sponsor from time to time.

  • If a shelf registration is effective with respect to the Sponsor Registrable Securities, following a Sponsor Demand Trigger Event, in lieu of a Demand Registration, the holders of majority of the Sponsor Registrable Securities shall be entitled to request one underwritten shelf takedown in lieu of the one (1) Demand Registration provided in Section 2(a) (such Demand Registration or underwritten shelf offering referred to herein as the “Sponsor Demand”).

  • If a shelf registration is not then effective with respect to the Sponsor Registrable Securities, the holders of a majority of the Sponsor Registrable Securities shall be entitled to one (1) Long-Form Registration in which the Company shall pay all Registration Expenses; provided that the aggregate offering value of the Sponsor Registrable Securities requested to be registered in such Long-Form Registration must equal at least $10,000,000.

Sponsor Registrable Securities means the Registrable Securities held by the Sponsor, its Affiliates and any Person to whom it transfers or assigns its rights hereunder in accordance with Section 13(e).
Sponsor Registrable Securities means (i) the Sponsor Class A Shares, (ii) the Sponsor Private Placement Warrants and (iii) the shares of Class A Common Stock issuable upon exercise of the Sponsor Private Placement Warrants.

Sponsor Registrable Securities means collectively the WCP Registrable Securities and the Xxxx Registrable Securities.
Sponsor Registrable Securities means, irrespective of which Person actually holds such securities, (i) any Common Stock issued pursuant to the Investment Agreements or otherwise issued or distributed (directly or indirectly and including deemed ownership set forth in the definition of Registrable Securities) to the Sponsors or any of their respective Affiliates, (ii) any common Capital Stock of the Company or any Subsidiary of the Company issued or issuable with respect to the securities referred to in clause (i) above by way of dividend, distribution, split or combination of securities, or any recapitalization, merger, consolidation or other reorganization, and (iii) any other Common Stock held by Persons holding securities described in clauses (i) or (ii) above.
Sponsor Registrable Securities means, at any time, all of the then issued and outstanding (a) shares of Common Stock issued or issuable to FFL, FFL-2 or any of the TA Equity Investors upon conversion of any shares of Preferred Stock issued to FFL, FFL-2 or any of the TA Equity Investors pursuant to the Contribution Agreement, (b) shares of Common Stock purchased by or issued from time to time to the Sponsor Stockholders, (c) shares of any class of Common Stock into which such shares of Common Stock have been converted, and (d) shares of Common Stock issued with respect to such shares by way of stock dividend or stock split or in connection with any merger, consolidation, recapitalization or other reorganization affecting the Common Stock. Sponsor Registrable Securities will continue to be Sponsor Registrable Securities in the hands of any Holder and each Holder thereof will succeed to the rights and obligations of a Holder of Sponsor Registrable Securities hereunder, provided that shares of Sponsor Registrable Securities will cease to be Sponsor Registrable Securities when transferred (i) to the Company, (ii) to a holder of Mezzanine Registrable Securities, (iii) to a holder of Other Registrable Securities or (iv) pursuant to a Public Sale.
Sponsor Registrable Securities means the Registrable Securities issuable upon conversion of the Series B Preferred Stock purchased by the Sponsor and upon exercise of the Warrants issued to the Sponsor.
