Stock Option Gain means the profit shares
Stock Option Gain means, pursuant to the exercise of an Option Right not intended to qualify as an incentive stock option under Section 422 of the Code, the shares of Common Stock representing the difference between the aggregate Market Value per Share of shares of Common Stock subject to the Option Right on the date of exercise less the aggregate Option Price, if, and only if, the aggregate Option Price is paid with shares of Common Stock already owned by the Deferral Participant, as described in Paragraph 4(c)(ii) and in Revenue Ruling 80-244, 1980-2 C.B. 234.
Stock Option Gain means the amount of a Participant's net gain resulting from the Participant's Stock-for-Stock Exercise of an Eligible Stock Option. For example, assume a Participant elects to defer the Stock Option Gain accrued upon exercise of an Eligible Stock Option to purchase 1,000 shares of Stock at an exercise price of $20 per share, when Stock has a current fair market value of $25 per share. Using a Stock-for-Stock Exercise, the Participant would deliver 800 shares of Stock (worth $20,000) to exercise the Eligible Stock Option and receive, in return, 800 shares of Stock plus a Stock Option Gain (in this case, in the form of a credit of 200 Stock Units to the Participant's Stock Option Account) equal to $5,000 (i.e., the current value of the remaining 200 shares of Stock).

More Definitions of Stock Option Gain

Stock Option Gain means the gains on a Designated Employee's stock options that have been granted by the Company and designated as eligible for deferral under the Plan by the Committee pursuant to Section 3.1(c). With respect to any options granted to Designated Employees that are made subject to a Stock Option Gain deferral election, the gains on such options shall be determined through a deemed sale of related shares of the underlying shares net of the exercise price of the options.
Stock Option Gain means any incremental shares of Genuity Common Stock that a Participant is entitled to receive as a result of the Participant's paying the exercise price of a stock option under the Long-Term Plan with shares of Genuity Common Stock.
