Aggregate Option Price definition

Aggregate Option Price means an amount equal to one percent (1%) of TCI's Net Investment as of the first to occur of the date of the Distribution and the date on which the Option first becomes exercisable, but excluding any portion of TCI's Net Investment that as of such date is represented by a promissory note or other evidence of indebtedness from the Company (or any of its subsidiaries) to TCI (or any subsidiary of TCI).
Aggregate Option Price shall have the meaning given such term in Section 2.8.
Aggregate Option Price means the product of (i) the number of shares of Buyer Common Stock that the Equity Investor elects to purchase pursuant to the Purchase Option, multiplied by (ii) the Per Share Option Price, and (c) “Per Share Option Price” means ninety percent (90%) of the VWAP for the ten (10) Trading Day period ending three (3) Trading Days prior to Closing. For the avoidance of doubt, the Aggregate Option Price is not, and shall not be deemed, a part of the Equity Commitment. The Aggregate Option Price shall be paid by the Equity Investor only in the event that the Equity Investor exercises the Purchase Option pursuant to this Section 15 and such amount shall be paid in addition to the Equity Commitment pursuant to, and in accordance with, the terms hereof.

More Definitions of Aggregate Option Price

Aggregate Option Price means the amount obtained by subtracting (b) from (a) where (b) is the Breakup Fee and (a) is the amount obtained by multiplying the number of shares with respect to which the Option is being exercised by the Option Price. The terms of this Section 2(f) are specifically intended not to provide a discount from the fair market value of Issuer's Common Stock on the date the Option is granted and this Agreement signed, but instead to provide for a procedure which (i) aligns Grantee's right to receive the Breakup Fee with its right to exercise the Option and (ii) offsets the obligation of Grantee to pay the aggregate purchase price provided for in connection with an exercise of the Option with the obligation of Issuer to pay the Breakup Fee and thereby facilitates and assures Grantee's receipt of the benefits of this Agreement which the parties have mutually agreed Grantee is entitled to on the terms provided for herein.
