Storage Investment definition

Storage Investment means Investments in Storage Parent or any of its subsidiaries (including indirectly by means of a Restricted Payment to Target) by Parent Borrower or its Restricted Subsidiaries in an aggregate amount not to exceed $30,000,000 at any time.
Storage Investment or"Storage Investments" means the storage investments acquired or to be acquired by the Partnership in accordance with the Partnership's investment objectives and strategies, including the Portfolio Investments and the Proposed Acquisitions, which are expected to primarily consist of self-storage properties, containerized storage, industrial storage or related assets (including lockers, parking spaces, boat shelters, mobile containers and warehousing) located primarily in Canada. “Sub-facility” has the meaning given thereto in Item 3.5 – Certain Loans. "Subscription Agreement" means a subscription agreement to be executed by each Investor providing for the purchase of Offered Units in the form provided by the Manager. "subsidiary" has the meaning given thereto in NI 45-106. "Tax Act" means the Income Tax Act (Canada) and the regulations thereunder, as amended from time to time. "Trailing Commission" means an ongoing deferred commission paid to selling dealers. “Trust Agreement” means the amended trust agreement dated March 1, 2024 governing the Fund, as it may be further amended, supplemented, restated or amended and restated from time to time, including the schedules thereto. See Item 2.7.1 - Trust Agreement. "Trust Unitholder" means a registered holder of Trust Units at any time and from time to time, as shown on the register maintained by or on behalf of the Fund for outstanding Trust Units. "Trust Units" means the units of beneficial interest in the trust created by the Trustees, issued from time to time in accordance with the Trust Agreement and having the rights, privileges, limitations, restrictions and conditions set out in the Trust Agreement, including the Series A Units, Series B Units, Series F Units, Series H Units, Series I Units and X Series Units. "Trustees" means, at any time, the trustees of the Fund, which currently are Catherine Barbaro, Douglas Buchanan, Reid Carter, Aly Damji, Daniel Freedman and John Morrison. See Item 3 - Compensation and Security Holdings of Certain Parties. "Valuation Date" means (i) the last business day of each month; and (ii) such other day or days as the Manager in its sole discretion may decide from time to time. “Valuation Policy” means the valuation policy adopted by the General Partner used to determine the fair market value of the assets of the Fund and the Partnership, including Storage Investments, as it may amended from time to time. “X Series Units” means collectively, Series FX Units, Series HX Units...

  • Eligible Investment means any investment that at the time of its acquisition is one or more of the following:

  • Permissible Investment means the investments specified by the Employer as available for investment of assets of the Trust and agreed to by the Trustee. The Permissible Investments under the Plan shall be listed in the Service Agreement.

  • Minimum Investment means an investment in the project of at least two and one‑half million dollars within the investment period. If a county has an average annual unemployment rate of at least twice the state average during the last twenty‑four month period based on data available on the most recent November first, the minimum investment is one million dollars. The department shall designate these reduced investment counties by December thirty‑first of each year using data from the South Carolina Department of Employment and Workforce and the United States Department of Commerce. The designations are effective for a sponsor whose fee agreement is signed in the calendar year following the county designation. For all purposes of this chapter, the minimum investment may include amounts expended by a sponsor or sponsor affiliate as a nonresponsible party in a voluntary cleanup contract on the property pursuant to Article 7, Chapter 56, Title 44, the Brownfields Voluntary Cleanup Program, if the Department of Health and Environmental Control certifies completion of the cleanup. If the amounts under the Brownfields Voluntary Cleanup Program equal at least one million dollars, the investment threshold requirement of this chapter is deemed to have been met.

  • Family of Investment Companies as used herein means two or more registered investment companies (or series thereof) that have the same investment adviser or investment advisers that are affiliated (by virtue of being majority owned subsidiaries of the same parent or because one investment adviser is a majority owned subsidiary of the other).

  • Minority Investment means any Person (other than a Subsidiary) in which the Borrower or any Restricted Subsidiary owns Capital Stock.

  • Principal Accumulation Investment Proceeds means, with respect to each Transfer Date, the investment earnings on funds in the Principal Accumulation Account (net of investment expenses and losses) for the period from and including the immediately preceding Transfer Date to but excluding such Transfer Date.

  • Liquid Investments means (a) readily marketable direct full faith and credit obligations of the United States of America or obligations unconditionally guaranteed by the full faith and credit of the United States of America; (b) commercial paper issued by (i) any Lender or any Affiliate of any Lender or (ii) any commercial banking institutions or corporations rated at least P-1 by Moody’s or A-1 by S&P; (c) certificates of deposit, time deposits, and bankers’ acceptances issued by (i) any of the Lenders or (ii) any other commercial banking institution which is a member of the Federal Reserve System and has a combined capital and surplus and undivided profits of not less than $250,000,000 and rated Aa by Moody’s or AA by S&P; (d) repurchase agreements which are entered into with any of the Lenders or any major money center banks included in the commercial banking institutions described in clause (c) and which are secured by readily marketable direct full faith and credit obligations of the government of the United States of America or any agency thereof; (e) investments in any money market fund which holds investments substantially of the type described in the foregoing clauses (a) through (d); (f) readily and immediately available cash held in any money market account maintained with any Lender; provided that, such money market accounts and the funds therein shall be unencumbered and free and clear of all Liens and other third party rights other than a Lien in favor of the Administrative Agent pursuant to the Security Documents; and (g) other investments made through the Administrative Agent or its Affiliates and approved by the Administrative Agent. All the Liquid Investments described in clauses (a) through (d) above shall have maturities of not more than 365 days from the date of issue.

  • Mezzanine Investments means debt Securities (including convertible debt Securities (other than the “in-the-money” equity component thereof)) and Preferred Stock in each case (a) issued by public or private issuers, (b) issued without registration under the Securities Act, (c) not issued pursuant to Rule 144A under the Securities Act (or any successor provision thereunder), (d) that are not Cash Equivalents and (e) contractually subordinated in right of payment to other debt of the same issuer.
