Case Studies, Assignments and Projects, including ALL subjects in any Post Graduate programme, do not qualify for Single Subject Awards.
Performance Subject Awards shall be governed by the Company Equity Plan and the written award agreements governing their grant.
Among the Middle and Upper School awards presented are: ● Subject Awards - Presented to the highest achieving student in each course ● Merit Awards - Presented to a selected boy and girl at each grade level 6 – 11.
Among the Middle and High School awards presented are: ● Subject Awards - Presented to the highest achieving student in each course ● Merit Awards - Presented to a selected boy and girl at each grade level 6 – 11.
Each party to this Agreement will use its best efforts to take all action and to do all things necessary, proper, or advisable in order to consummate and make effective the transactions contemplated by this Agreement (including, but not limited to, the execution and delivery of such other documents and agreements as may be necessary to effectuate the surrender and cancellation of the Subject Awards).
The Grantee hereby waives his rights under, and releases and discharges fully and forever the Company and its officers, directors and shareholders and each of its and their predecessors and successors from any and all present or future claims, demands, and causes of action arising from or in connection with, the Subject Awards.
Notwithstanding any other provisions in the award agreements or employment agreements governing the Subject Awards to the contrary, Consultant remains eligible to participate in the Plans with respect to the continued vesting of the Subject Awards through the end of the Term.
If this Agreement is terminated by the Company for Cause (as defined below) or by Consultant for any reason, in each case pursuant to Paragraph 9, the unvested portion of the Subject Awards will become immediately forfeited.
These include:• Academic: good work in a lesson, pleasing homework, test result, positive contribution and participation;• Sports - one-off success;• Service - helpful, community spirit, kindness;• Excellent attendance, sustained hard work, effort, exemplary behaviour;• Participation in an school event: e.g. assembly, drama, concert, match; Subject Awards.
Notwithstanding anything to the contrary contained herein or in the award agreements, in the event of a Change of Control (as defined in the Employment Agreement) during the Term, the Shares underlying the Subject Awards which would vest during the Term shall vest (and, as to options, also become exercisable) immediately prior to the consummation of such Change of Control.
