In the case of an Optional Exercise, if a Holder elects to effect such Exercise through delivery of cash pursuant to Section 2.2(iii)(a) hereto, UK Parent shall have the right, at its option, to redeem from such Holder the aggregate principal amount of Subordinated Notes held by such Holder equal to the number of Warrants so exercised multiplied by the Warrant Exercise Price, at the Subordinated Note Redemption Price.
To the extent that UK Parent defaults on such obligations, TW UK shall be absolutely and unconditionally obligated to pay the Subordinated Note Redemption Price and the PIK Note Redemption Price in immediately available funds in full on the Purchase Date and shall not be entitled to set off any claim of any kind which UK Parent or TW UK may have against anyone whether arising under or by reason of this Agreement, the other Transaction Documents or for any other reason of any kind.
The Purchasers' obligation to tender the Subordinated Notes or the PIK Notes called for redemption by UK Parent or the exercise of the Purchasers' Exercise Right shall not arise until such time as sufficient funds have been deposited to pay the Subordinated Note Redemption Price and the PIK Note Redemption Price for the Redemption Securities to be redeemed.
On the Warrant Purchase Date, UK Parent will (i) purchase the Warrants tendered pursuant to Section 8.1 hereof for cash in an amount equal to the aggregate Warrant Purchase Price for all Warrants tendered for purchase and (ii) redeem the Subordinated Notes tendered pursuant to Section 8.1 hereof for cash in an amount equal to the aggregate Subordinated Note Redemption Price for all Subordinated Notes tendered for redemption.
