Subsequent Exchange Act Reports shall have the meaning assigned thereto in Section 8.15(a).

Subsequent Exchange Act Reports will mean AmeriNet's reports filed with the Commission pursuant to requirements of the Exchange Act after the filing of AmeriNet's report on Commission Form 10-KSB for the year ended June 30, 2000 but prior to the date of Closing on this Agreement.

  • In addition, the Trustee shall, free of charge, upon request, deliver to any Certificateholder, Certificate Owner or party identified as a prospective Certificateholder or Certificate Owner copies of all Subsequent Exchange Act Reports that are filed with the Commission with respect to the Trust.

All Subsequent Exchange Act Reports prepared by the Trustee pursuant to this Section 8.15(a) shall be executed by the Depositor promptly upon delivery thereto, subject to the Subsequent Exchange Act Report being in form and substance reasonably acceptable thereto.

  • The Trustee shall have no liability to the Certificateholders or the Trust with respect to any failure to properly prepare or file any of the Subsequent Exchange Act Reports to the extent that such failure is not the result of any negligence, bad faith or willful misconduct on its part.

  • All Current Reports on Form 8-K and Annual Reports on Form 10-K that are to be filed with respect to the Trust pursuant to this Section 8.15(a) (collectively, including the exhibits thereto, the "Exchange Act Reports"), exclusive of the initial Current Report on Form 8-K contemplated by clause (y) of the proviso to the first sentence of the preceding paragraph, which is to be executed by the Depositor, are (together with the exhibits thereto) herein referred to as the "Subsequent Exchange Act Reports".

  • The SSI Information contained in the Definitive CRA Proxy Materials and the Registration Statement will not, on the date the Registration Statement becomes effective, and the SSI Subsequent Exchange Act Reports will not, contain an untrue statement of a material fact or omit to state a material fact required to be stated therein or necessary to make the statements contained therein not misleading.

  • The Exchange Act Reports, exclusive of the Initial Current Reports on Form 8-K, are herein referred to as the "Subsequent Exchange Act Reports".

  • All Subsequent Exchange Act Reports prepared by the Trustee pursuant to this Section 8.15(a) shall be executed by the Depositor promptly upon delivery thereto and subject to the Subsequent Exchange Act Report being in form and substance reasonably acceptable thereto.

  • Deficient Exchange Act Deliverable With respect to the Servicer, the Special Servicer, the Certificate Administrator, the Custodian, the Trustee and each Servicing Function Participant and Additional Servicer retained by it (other than a Loan Seller Sub-Servicer), any item (x) regarding such party, (y) prepared by such party or any registered public accounting firm, attorney or other agent retained by such party to prepare such item and (z) delivered by or on behalf of such party pursuant to the delivery requirements under Article 13 of this Agreement, that does not conform to the applicable reporting requirements under the Securities Act, the Exchange Act, the Xxxxxxxx-Xxxxx Act and/or the rules and regulations promulgated thereunder.

  • Exchange Act Regulations means the General Rules and Regulations under the Exchange Act.

  • CREFC® Delinquent Loan Status Report A report substantially in the form of, and containing the information called for in, the downloadable form of the “Delinquent Loan Status Report” available as of the Closing Date on the CREFC® Website, or no later than 90 days after its adoption, such other form for the presentation of such information and containing such additional information as may from time to time be approved by the CREFC® for commercial mortgage securities transactions generally.

  • Weekly Reporting Period means any Level 2 Ratings Period.

  • CMSA Delinquent Loan Status Report means a report substantially in the form of, and containing the information called for in, the downloadable form of the "Delinquent Loan Status Report" available as of the Closing Date on the CMSA Website, or such other form for the presentation of such information and containing such additional information as may from time to time be approved by the CMSA for commercial mortgage securities transactions generally.

  • Form 8-K Disclosure Information As defined in Section 11.07.

  • Report Date means the third Business Day before the related Distribution Date.

  • Form 10-Q is defined in Section 7.1(a).

  • Pick Up Report means the report detailing the number of sleeping rooms per day actually used out of the Program’s room block.
