Sun Investment means the Project Cost.

  • Selling Broker-Dealer and Producer will reimburse the Company or Sun Investment or any director, officer, agent or employee of either entity for any legal or other expenses reasonable incurred by the Company, Sun Investment, or such office, director, agent or employee in connection with investigating or defending any such loss, claims, damages, liability or action.

  • Sun Investment may amend this Agreement upon at least ten (10) days' prior written notice to Selling Broker-Dealer and Producer.

  • Dealer and Producer each agree that no territory is assigned exclusively hereunder and that the Company and Sun Investment reserve the right in their discretion to establish one or more agencies in any jurisdiction in which Selling Broker-Dealer and Producer transact business hereunder.

  • Selling Broker-Dealer and Producer hereby assign any proceeds received from a fidelity bonding company, error and omissions or other liability coverage, to the Company or Sun Investment as their interest may appear, to the extent of their loss due to activities covered by the bond, policy or other liability coverage.

  • The Selling Broker-Dealer and Producer are independent contractors with respect to the Company and Sun Investment.

  • Dr KWOK Siu Ming Simon and Dr KWOK LAW Kwai Chun Eleanor are each taken to be interested in all the issued non-voting deferred shares (the “Deferred Shares”) of Base Sun Investment Limited (“Base Sun”), Matford Trading Limited (“Matford”), Sa Sa Cosmetic Company Limited and Sa Sa Investment (HK) Limited, all of which are wholly-owned subsidiaries of the Company.

Sun Investment means the difference between Project Cost and Partner Investment. “Debt” shall equal *****. “Partner’s % Return” shall mean the after-tax discount factor used in determining when Investor’s sharing percentage is reduced (“flips”).
Sun Investment means the following pay- ments made or resources contributed to Developer by Sun: a porting fee in the amount of Three Hundred Fifty Thousand Dollars ($350,000) (less any waived payments under Section 4.3(a), or any other milestone payments not made by Sun), and technical support resources valued in the amount of Twenty Thousand Dollars ($20,000) per month during the development of the Ported Product, not to exceed Three Hundred Thousand Dollars ($300,000) in total. Repayment of the technical support resource portion of the Sun Investment may be reduced by Developer to the extent that Developer can document such lengths of times of unavailability of one or two Stand-in Engineers (assuming in such case, the unavailability of the Dedicated Engineers). Such reduction of the Repayment Amount shall be based on the hourly rate of eighty dollars ($80) per hour per engineer, pursuant to the hourly schedule of availability as set forth in Section 2.2(b), above.

  • Approved Investment means any type of security, instrument, participation or interest in property, as set forth on Schedule I hereto (which may be amended from time to time by execution of a revised Schedule I, I-A or I-B) in which Cash Collateral may be invested or reinvested by Bank in accordance with Paragraph 2 of Article IV hereof.

The department shall designate these reduced investment counties by December thirty‑first of each year using data from the South Carolina Department of Employment and Workforce and the United States Department of Commerce. The designations are effective for a sponsor whose fee agreement is signed in the calendar year following the county designation. For all purposes of this chapter, the minimum investment may include amounts expended by a sponsor or sponsor affiliate as a nonresponsible party in a voluntary cleanup contract on the property pursuant to Article 7, Chapter 56, Title 44, the Brownfields Voluntary Cleanup Program, if the Department of Health and Environmental Control certifies completion of the cleanup. If the amounts under the Brownfields Voluntary Cleanup Program equal at least one million dollars, the investment threshold requirement of this chapter is deemed to have been met.

  • Investment Vehicles means any investment company or pooled investment fund, including, but not limited to, mutual fund families, exchange-traded funds, fund of funds and hedge funds, in which a Defendant has or may have a direct or indirect interest, or as to which its affiliates may act as an investment advisor, but of which a Defendant or its respective affiliates is not a majority owner or does not hold a majority beneficial interest.

  • Investment is any beneficial ownership interest in any Person (including stock, partnership interest or other securities), and any loan, advance or capital contribution to any Person.
