Super Senior Facility definition

Super Senior Facility means the $100,000,000 working capital facility to be provided pursuant to the Super Senior Facility Agreement.

Super Senior Facility means the Original Super Senior Facility (including any fees, underwriting discount premiums and other costs and expenses incurred with such financing) in an aggregate principal amount not at any time exceeding the higher ofSEK 120,000,000 and 0.5x EBITDA of the Group pursuant to the most recently delivered audited annual report, and any general corporate and working capital facilities used to refinance the Original Super Senior Facility or any refinancing of such debt in accordance with the Intercreditor Agreement, for the avoidance of doubt such refinancing not to exceed the aforementioned amount.

Super Senior Facility means a super senior credit facility in an aggregate amount not to exceed the available amount under the Super Senior Basket, which shall be subject to the Super Senior Intercreditor Agreement.

Examples of Super Senior Facility in a sentence

• In case of insolvency of the Issuer, the payment obligations of the Issuer under the Notes are subordinated to other payment obligations of the Issuer under the Super Senior Facility and the Super Senior Hedges pursuant to the Intercreditor Agreement.

• Each Subsidiary which is a guarantor under the Super Senior Facility shall be a Guarantor.

• The relationship and ranking between the Bondholders, Swedbank AB (publ) (in their capacity as lender under the Super Senior Facility (as described below)) and the Security Agent (being Nordic Trustee & Agency AB (publ) as of the date of this Prospectus) is governed by an intercreditor agreement entered into by, inter alios, the Issuer, the Security Agent, the Guarantors, the Shareholders and Swedbank AB (publ) (the “Intercreditor Agreement”).

Super Senior Facility means the Revolving Facilities;

Super Senior Facility means (i) the EUR 80,000,000 multicurrency sustainability- linked super senior revolving credit facility agreement dated on or about the date of this Agreement, entered into between, amongst others, the Debtors and the Original Super Senior Facility Creditors (as amended and/or increased or decreased from time to time), and (ii) any replacement thereof in accordance with Clause 11(b) (as amended and/or increased or decreased from time to time).
