Swiss Security Documents definition

Swiss Security Documents means each of the documents set forth on Schedule 5.10(d), dated as of the Second Restatement Date, as each of such documents may be amended, restated, supplemented or otherwise modified from time to time and additional analogous agreements as may be entered into from time to time in accordance with Section 5.10 and as required by the Collateral Documents.
Swiss Security Documents has the meaning set forth in Section 5.15(i).
Swiss Security Documents means each of the Swiss security documents listed in Part VIII of Schedule 15 (Transaction Security Documents) in each case securing the Secured Obligations.

More Definitions of Swiss Security Documents

Swiss Security Documents means collectively (i) the Share Pledge Agreement between Borrower and Agent regarding the shares of each Swiss Subsidiary of Borrower, (ii) the Security Assignment Agreement between Borrower and Agent regarding all intercompany accounts receivable owing by Auris Medical AG to Borrower and (iii) the Bank Account Claims Security Assignment Agreement (the “Swiss Account Control Agreement”) between Borrower and Agent, each dated as of the Closing Date, and as may be amended, modified or supplemented from time to time.
Swiss Security Documents means (i) a Swiss law quota pledge agreement regarding pledge of quotas of Swiss Xxxxx between Swiss Holdco, as pledgor, and the Collateral Agent and the other Secured Parties, as pledgees; (ii) a Swiss security receivables assignment agreement in relation to certain receivables of Swiss Holdco and Swiss Xxxxx between Swiss Holdco and Swiss Xxxxx, as assignors, and the Collateral Agent on behalf of the Secured Parties and (iii) subject to the final paragraph in the definition ofCollateral and Guarantee Requirement”, a Swiss law quota pledge agreement regarding pledge of quotas of Swiss Holdco between Lux Holdco, as pledgor, and the Collateral Agent and the other Secured Parties, as pledgees.
Swiss Security Documents means the following documents, each governed by Swiss law and in form and substance satisfactory to the Collateral Agent (as the same may be amended, amended and restated, supplemented or otherwise modified from time to time):
Swiss Security Documents means the Security Agreements governed by the laws of Switzerland.
Swiss Security Documents means (a) the Swiss law governed quota pledge agreement regarding the pledge of quotas in GlobeOp Financial Services (Switzerland) GmbH between SS&C European Holdings S.A.R.L. and the holders of Secured Obligations (as defined therein), represented by Deutsche Bank AG New York Branch as Original Administrative Agent, dated as of the Original Closing Date (as amended, restated, supplemented, confirmed or otherwise modified from time to time, including, without limitation, by (i) Swiss law governed security confirmation agreement between SS&C European Holdings S.A.R.L. and the holders of Secured Obligations (as defined therein), represented by Credit Suisse AG, Cayman Islands Branch as Security Agent dated as of April 16, 2018, and (ii) a Swiss law governed security confirmation agreement between SS&C European Holdings S.A.R.L. and the holders of Secured Obligations (as defined therein), represented by CS as Security Agent dated on or around the Revolving Facility Amendment Effective Date) and (b) each other Swiss law governed document or instrument which creates, evidences or confirms or which is expressed to create, evidence or confirm any Lien granted or required to be granted pursuant to Section 7.14.
Swiss Security Documents means (a) the Swiss law governed quota pledge agreement regarding the pledge of quotas in GlobeOp Financial Services (Switzerland) GmbH between SS&C European Holdings S.A.R.L. and the holders of Secured Obligations (as defined therein), represented by Deutsche Bank AG New York Branch as Original Administrative Agent, dated as of the Original Closing Date (as amended, restated, supplemented or otherwise modified from time to time), and (b) each other Swiss law governed document or instrument which creates or evidences or which is expressed to create or evidence any Lien granted or required to be granted pursuant to Section 7.14.
Swiss Security Documents means the following documents, each in form and substance reasonably satisfactory to Agent: (a) a quota pledge agreement between Axovant England as pledgor and Agent as pledgee, regarding the pledgor’s quotas in Axovant Switzerland, (b) a bank account pledge agreement between Axovant Switzerland as pledgor and Agent as pledgee, regarding certain of the pledgor’s bank accounts, (c) a security assignment agreement between Axovant Switzerland as assignor and Agent as assignee, regarding certain of the assignor’s insurance receivables, intra-group receivables and trade receivables, and (d) such other documents incidental to the foregoing documents as Agent may reasonably determine necessary.
