Buyer will honor the participation rights contemplated to be granted to creditors of Sellers pursuant to the Plan, as reflected in the (a) Notice of Filing of Newco ABL Facility Syndication Procedures (Docket No. 2755), filed with the Bankruptcy Court on June 22, 2016 and (b) the Notice and Instruction Form and Subscription Form distributed to Second Lien Noteholders on June 30, 2016.
Following the Effective Date, the Borrower shall use commercially reasonable efforts to assist the Backstop Parties in connection with the Primary Syndication for the assignment of a proportionate share of Loans in accordance with the Primary Syndication Procedures.

The New Money Loan Commitments and the Loans hereunder may be syndicated pursuant to the Exit Facility Syndication in the manner and in the amounts determined in accordance with Exit Facility Syndication Procedures.
