The Company, in consultation with the Underwriter, will ensure that the Offer (including the equitable dispersion of any Shortfall Securities) complies with the provisions of Chapter 6 of the Corporations Act 2001 (Cth) and is otherwise consistent with the policy guidelines contained in ASIC Regulatory Guide 6 and Takeovers Panel Guidance Note 17.
Nothing in this Deed requires either party to appeal or seek review of any decision of a Government Agency or the Takeovers Panel referred to in clause 13.1(a) or clause 13.1(b).
The Company will use its reasonable endeavours to follow the steps or matters specified by the Court, or apparent from its directions or reasons, as required or desirable in order to grant the Initial Orders or Final Orders (as the case may be) or requirements of the Takeovers Panel, including, if indicated, providing supplementary information to Shareholders and/or convening a second Scheme Meeting.
No court, governmental, regulatory or similar decisions, orders, investigations, or applications in relation to the Offer which restrain, prohibit or impede or threaten to restrain, prohibit or impede the Offer or its completion or the implementation of the intentions set out in this Bidder’s Statement (other than exercises of discretion by ASIC or the Takeovers Panel).
Our appointment has subsequently been approved by the Takeovers Panel.
