Adagene shall be responsible for the Development Costs incurred by Adagene in the performance of the Compound Research Activities in accordance with the respective Target Research Budget.
In addition, from time to time, either Party may propose updates and amendments, as appropriate, to a Target Research Plan to add, remove, or modify the Compound Research Activities under such Target Research Plan (including any consequential changes to the Target Research Budget) (“Plan Revisions”).
Unless such budget increase is approved by the JRC, Sanofi shall have no responsibility for, nor any liability in respect of, any Development Costs in excess of the Target Research Budget (as revised from time to time), except to the extent such budget increase is subject to Compound Research Activities that have been requested by Sanofi.

If Vertex exercises the Additional Target Option, then, with respect to the Collaboration Program for the Additional Target, Vertex shall reimburse Company in accordance with Section 7.8 for Company’s [***] incurred in conducting (directly or through its Affiliates or Subcontractors) the applicable Research Activities in accordance with the Research Plan and the Additional Target Research Budget, as the same may be updated or amended.
