  • In such offer, each Interxion Share accepted by the Telecity Offeror shall be exchanged for the right to receive from Telecity 2.3386 Telecity Shares (such number of Telecity Shares per Interxion Share exchanged pursuant to the Offer being hereinafter referred to as the Merger Ratio), on the terms and subject to the conditions referred to in this Agreement (such offer, as may be amended or extended from time to time as permitted by this Agreement, the Offer).

  • The Offer Securities will rank equally in all respects with the existing Telecity Shares, including the right to receive all dividends and other distributions declared, made or paid by Telecity by reference to a record date falling on or after the issuance thereof.

  • All of the issued Telecity Shares have been duly authorised, validly issued, fully paid and non-assessable.

  • Upon any issuance of any Telecity Shares and/or ADRs in accordance with the terms of the Telecity Share Plans and this Agreement, such Telecity Shares and ADRs will be duly authorised, validly issued, fully paid and non-assessable and free and clear of any lien, charge, pledge, security interest, claim or other encumbrance (including any restrictive or transfer legends).

  • Equity Shares shall have the meaning attributed to such term in the recitals of this Agreement;

  • Subscriber Shares means the Shares which the subscribers to the Instrument of the ICAV agree to subscribe for as more particularly hereinafter set forth after their names.

  • Primary Shares means at any time the authorized but unissued shares of Common Stock or shares of Common Stock held by the Company in its treasury.

  • Common Shares means the common shares in the capital of the Corporation;

  • A Shares means shares issued by companies incorporated in the PRC and listed on the SSE or the SZSE, traded in RMB and available for investment by domestic investors through Stock Connect.

  • Ordinary Shares means the ordinary shares, par value $0.0001 per share, of the Company.

  • ASA Shares has the meaning set forth in 2.4(a).

  • Offering Shares means the shares of Common Stock included in the Units issued pursuant to this Agreement and Investor Warrant Shares.

  • Subscription Shares has the meaning ascribed to it in Section 2.1.

  • Coop Shares Shares issued by a Cooperative Corporation.

  • Merger Shares has the meaning set forth in Section 2.2(c).

  • Newco Shares means the common shares in the capital of Newco;

  • VMTP Shares has the meaning set forth in the preamble to this Agreement.

  • PIPE Shares shall have the meaning given in the Recitals hereto.

  • Consideration Shares has the meaning ascribed thereto in Section 2.2.

  • H Shares means the overseas-listed foreign invested shares in the share capital of the Company with a nominal value of RMB1.00 each, which are subscribed for and traded in Hong Kong Dollars;

  • Ordinary Share Equivalents means any securities of the Company or the Subsidiaries which would entitle the holder thereof to acquire at any time Ordinary Shares or ADSs, including, without limitation, any debt, preferred stock, right, option, warrant or other instrument that is at any time convertible into or exercisable or exchangeable for, or otherwise entitles the holder thereof to receive, Ordinary Shares or ADSs.

  • Company Shares means the common shares in the capital of the Company;

  • sweat equity shares means equity shares issued by a company to its employees or directors at a discount or for consideration other than cash for providing know-how or making available rights in the nature of intellectual property rights or value additions, by whatever name called;

  • Amalco Shares means the common shares in the capital of Amalco;

  • Scheme Shares means the Target Shares which are subject to the Scheme in accordance with its terms.

  • Subscribed Shares means, as of any date of determination, the Subscribed Shares (as defined in the recitals to this Subscription Agreement) and any other equity security issued or issuable with respect to the Subscribed Shares by way of stock split, dividend, distribution, recapitalization, merger, exchange, or replacement, and (ii) “Subscriber” shall include any person to which the rights under this Section 5 shall have been duly assigned.

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • B Shares means a participating share of no par value in the capital of the Fund, denominated in Euro(s);

  • Converted Shares means the Subject Equity Shares resulting from the conversion of Limited Voting Shares into the Subject Equity Shares pursuant to subparagraph (ii);
