Texas Lease shall have the meaning set forth in Section 4.3.
Texas Lease has the meaning set forth in Section 3.2(a)(vi). “Trademark” means any trademarks, service marks, trade names, trade dress, logos, corporate names and other similar indicia of origin or business identifiers, together with the goodwill associated with any of the foregoing, and all applications, registrations, renewals and extensions of any of the foregoing. “Transfer Taxes” has the meaning set forth in Section 7.3(d). 6 “Treasury Regulation” means the treasury regulations promulgated under the Code, as amended. “WARN Act” means the Worker Adjustment and Retraining Notification Act and any similar state or local Law that is applicable. “Willful Breach” means, with respect to any Party, that such Party does one or more of the following: (a) such Party willfully and intentionally breaches in any material respect (by refusing to perform or taking an action prohibited) any material pre-Closing covenant or agreement applicable to such Party, (b) such Party intentionally misrepresents any of the matters covered by its representations or warranties under this Agreement as of the Execution Date, or (c) such Party willfully and intentionally causes any of its representations or warranties under this Agreement to not be true and correct such that the conditions set forth in Section 8.2(a) or Section 8.3(a), as applicable to such representation or warranty, would not be satisfied. For clarity, if a Party is obligated hereunder to use its commercially reasonable efforts or reasonable best efforts to perform an action or to achieve a result, the failure to use such commercially reasonable efforts or reasonable best efforts, as applicable, would constitute a willful and intentional breach of this Agreement.   • This Texas Lease Agreement shall be governed, construed and interpreted by, through and under the Laws of the State of Texas.
