Total Cash Compensation definition

Total Cash Compensation means the sum of (i) Executive’s Base Salary for the prior calendar year, provided that, for purposes of determining Total Cash Compensation in 2017, the Executive’s Base Salary provided for under this Agreement shall be used, and (ii) the annual cash bonus paid to Executive in the prior calendar year, whether such annual cash bonus was paid by the Company or its predecessor. All such equity compensation awards, if any, shall be subject to the terms and conditions of the Plan and the award agreements pursuant to which they are granted, as modified by this Agreement.
Total Cash Compensation means the sum of the (i) highest annual Base Salary in effect during the Term; and (ii) highest annual Incentive Bonus (as set forth in Section 6(b)) earned during the prior three (3) fiscal years.
Total Cash Compensation means the Employee’s Base Salary (as defined in Section 3.1) plus any cash bonuses, commissions or similar incentive payment accrued during any single calendar year.

Examples of Total Cash Compensation in a sentence

  • For purposes of determining severance pursuant to this Section 5(e)(i), the Total Cash Compensation shall be calculated based on the Executive’s current Base Salary as of the effective date of his termination, and the full Target Annual Bonus for the relevant year.

  • The annual benefit under this Section 2.3 is seventy percent (70%) of the Final Total Cash Compensation.

  • The annual benefit under this Section 2.4 is seventy percent (70%) of the Final Total Cash Compensation.

More Definitions of Total Cash Compensation

Total Cash Compensation is defined as the annualized amount of Base Salary plus Bonus Payment for the prior 12-month period. The Separation Package shall be payable in a lump sum within thirty (30) days of termination.
