Trading Market Limit definition

Trading Market Limit means that number of shares which is one less than 20.0% of the issued and outstanding shares of the Company’s Common Stock as of the Effective Date.
Trading Market Limit means 8,423,431 shares of duly authorized, validly issued, fully paid and non-assessable shares of Common Stock (as adjusted for any stock splits, stock combinations, stock dividends, recapitalizations and other similar transactions that occur on or after the date of this Agreement); provided, however, that the Trading Market Limit shall not exceed under any circumstances that number of shares of Common Stock that the Company may issue pursuant to this Agreement and the transactions contemplated hereby without (a) breaching the Company’s obligations under the rules and regulations of the Trading Market or (b) obtaining stockholder approval under the applicable rules and regulations of the Trading Market.
Trading Market Limit means, at any time, 29,204,965 shares of duly authorized, validly issued, fully paid and non-assessable shares of Common Stock (as such number may be adjusted for any stock splits, stock combinations, stock dividends, recapitalizations and other similar transactions that occur on or after the date of this Agreement); provided, however, that the Trading Market Limit shall not exceed under any circumstances that number of shares of Common Stock that the Company may issue pursuant to this Agreement and the transactions contemplated hereby without (a) breaching the Company’s obligations under the rules and regulations of the Trading Market or (b) obtaining stockholder approval under the applicable rules and regulations of the Trading Market.

Related to Trading Market Limit

  • Trading Market means any of the following markets or exchanges on which the Common Stock is listed or quoted for trading on the date in question: the NYSE American, the Nasdaq Capital Market, the Nasdaq Global Market, the Nasdaq Global Select Market or the New York Stock Exchange (or any successors to any of the foregoing).

  • Principal Trading Market means the Trading Market on which the Common Stock is primarily listed on and quoted for trading, which, as of the date of this Agreement and the Closing Date, shall be the Nasdaq Capital Market.

  • Underlying Market means the relevant market where the Underlying Asset of a CFD is traded.

  • Listing Market means the national securities exchange on which any securities of the Company are listed for trading, and if not listed for trading, by the rules of the Nasdaq Stock Market.

  • Signing Market Price means $0.4579, representing the consolidated closing bid price of the Common Stock on The Nasdaq Global Market on the date of this Agreement, which shall be the lower of (i) the closing price of the Common Stock on The Nasdaq Global Market immediately preceding the date of this Agreement or (ii) the average closing price of the Common Stock on The Nasdaq Global Market for the five (5) Business Days immediately preceding the date of this Agreement.

  • Principal Market means the Nasdaq National Market, the Nasdaq SmallCap Market, the American Stock Exchange, the OTC Bulletin Board or the New York Stock Exchange, whichever is at the time the principal trading exchange or market for the Common Stock.

  • Applicable Market Value has the meaning specified in Section 5.1.

  • Eligible Market means The New York Stock Exchange, the NYSE Amex, the Nasdaq Global Select Market, the Nasdaq Global Market, the Nasdaq Capital Market or the Principal Market.

  • Current Market Price shall have the meaning set forth in Section 11(d) hereof.

  • NASDAQ means The Nasdaq Stock Market LLC.

  • Trading means and includes subscribing, buying, selling, dealing, or agreeing to subscribe, buy, sell, deal in any securities, and "trade" shall be construed accordingly.

  • NYSE means the New York Stock Exchange.

  • Small group market means the health insurance market under which individuals obtain health

  • Normal Market Size for CFD trading shall mean the maximum number of units of the Underlying Asset that are transmitted by the Company for execution.
