Tranche 3 Warrants definition

Tranche 3 Warrants means, collectively, the Tranche 3-A Warrants and Tranche 3-B Warrants, and each is a “Tranche 3 Warrant”.

Tranche 3 Warrants means those certain Tranche 3 warrants issued under the Tranche 3 Warrant Agreement, dated as of the date hereof, by and between the Company and Computershare.

Tranche 3 Warrants has the meaning set forth in the Plan.

• For the avoidance of doubt, whether the Tranche 3 Lenders choose to purchase the Tranche 3 Debentures and the Tranche 3 Warrants shall be entirely within the Tranche 3 Lenders’ discretion.

• On the Tranche 3 Funding Date, subject to the terms and conditions herein, (I) the Borrowers and the Company delivered the Tranche 3 Notes with an aggregate principal amount equal to the Tranche 3 Advance, and Tranche 3 Warrants with respect to the Tranche 3 Advance, respectively, and (II) the Purchasers paid the Tranche 3 Advance to the Borrowers and the Company by wire transfer to accounts designated by the Borrowers and Company prior to the Tranche 3 Funding Date.

Tranche 3 Warrants and together with the Tranche 1 Warrants and Tranche 2 Warrants, the “Warrants”) for 4% of the fully-diluted New Shares in the Reorganized Company (subject to dilution by the MIP) struck at the price of the amount that would result in payment in full at par of the Legacy Notes plus accrued interest as of the Petition Date, with no Black Scholes protection; or (ii) the Tranche 3 Warrants. Tranche 3 Warrants has the meaning set forth in the Restructuring Term Sheet. “Transfer” has the meaning set forth in Section 9(a).

Tranche 3 Warrants means, on terms and conditions set forth in the Plan Supplement, 5-year warrants with no Black Scholes protection for 4% of the fully diluted Reorganized Parent Stock (subject to dilution by the Management Incentive Plan) struck at the price that would result in payment of the Legacy Notes in full at par plus accrued interest as of the Petition Date.

Tranche 3 Warrants means 200,000 of the Warrants that become exercisable upon satisfaction of the Tranche 3 Vesting Criteria;

Tranche 3 Warrants means up to 75,169,446,504 free Warrants, each Warrant carrying the right to subscribe for one (1) Warrant Share at the Exercise Price of S$0.0070 for each Warrant Share, on the basis of three (3) Warrants for every one (1) Rights Share validly subscribed for by the entitled Shareholders under the Rights cum Warrants Issue, fractional entitlements to be disregarded;
