  • The parties agree that the portion of the Purchase Price allocated to the purchase of the Trident Shares that are shares of Trident ECP is $1.00 and that the remainder of the Purchase Price is allocated to the Trident Shares that are shares of Trident ECG, the MECG Units, the VECG Units and the ETCF Units.

  • Pursuant to the Listing Rules, on 18 December 2017, the Listing Authority authorised the admissibility to listing of the Trident Shares.

Related to Trident Shares

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Purchased Stock means a right to purchase Common Stock granted pursuant to Article IV of the Plan.

  • Purchaser Shares means the common shares in the capital of the Purchaser.

  • Company Securities has the meaning set forth in Section 3.02(b)(ii).

  • Acquired Shares has the meaning set forth in the Recitals.

  • Dissent Shares means Company Shares held by a Dissenting Shareholder and in respect of which the Dissenting Shareholder has validly exercised Dissent Rights;

  • VMTP Shares has the meaning set forth in the preamble to this Agreement.

  • Company Preferred Shares means, collectively, the Company Series A-1 Preferred Shares, the Company Series A-2 Preferred Shares, the Company Series B Preferred Shares, and the Company Undesignated Preferred Shares.
