TSR Peer Group means the peer group of companies approved by the Committee at its meeting on _________________, as adjusted to reflect corporate transactions with respect to peer group companies as approved by the Committee at such meeting.

Each of the TSR Peer Companies’ two-year TSR growth rates will be calculated by using the following values:

Examples of TSR Peer Group in a sentence

• In the case of multiple delistings, the delisted TSR Peer Group companies will be positioned below the listed and above the bankrupt TSR Peer Group companies in chronological order by delisting date with the first to be delisted at the bottom of the delisted companies.

• In the case of multiple bankruptcies, the bankrupt TSR Peer Group companies will be positioned below the non-bankrupt companies in chronological order by bankruptcy date with the first to go bankrupt at the bottom.

• The actual number of shares of Stock to be transferred to the Participant, if any (the “Final Award”), may be earned up to 150% of the Target Award opportunity, or as low as zero, based on the Company’s TSR performance ranking within the TSR Peer Group (as defined below) and upon satisfaction of the conditions to vesting set forth below in this Agreement.

• The initial TSR Peer Group shall include the companies listed in the chart below.

• If, upon conclusion of the TSR Performance Period, the Company’s relative TSR for the TSR Performance Period falls below the 25th percentile of TSR for the TSR Peer Group Companies (as defined below), no Performance Shares for TSR performance shall become earned.

TSR Peer Group means the companies listed on Schedule II hereto.

TSR Peer Group shall consist of the following companies: Arconic, Inc.; Allegheny Technologies Incorporated; ▇▇▇▇▇▇▇▇▇ Technology Corporation; Commercial Metals Company; Insteel Industries Inc.; ▇▇▇▇▇▇ Aluminum Corporation; Materion Corporation; Olympic Steel, Inc; and Universal Stainless & Alloy Products, Inc. Notwithstanding the foregoing, (i) in the event a member of the TSR Peer Group is acquired by a third party, ceases to be publicly traded or files for bankruptcy or reorganization protection during the Performance Period, that member shall be excluded from the TSR Peer Group for purposes of calculating Total Shareholder Return; (ii) in the event a member of the TSR Peer Group spins off a portion of its business during the Performance Period, SPB shall be adjusted for the value of the spinoff; and (iii) in the event a member of the TSR Peer Group sells or otherwise disposes of a portion of its assets or operations to a third party during the Performance Period, no adjustments shall be made. The "TSR Peer Group Ranking" shall be calculated as the percentage that the Company’s TSR bears to the TSR of each of the members of the TSR Peer Group. ​
