Unavailable Targets definition

Unavailable Targets means the Unavailable Fcab Targets and the Unavailable Fab Targets.
Unavailable Targets has the meaning set forth in Section 3.2.3.
Unavailable Targets has the meaning set forth in Section 2.1.2.

  • Upon receipt of such notification, the Gatekeeper shall update the list of Unavailable Targets accordingly.

  • The identity of the Unavailable Targets is deemed to be the Confidential Information of Caribou and the identity of the Reserved Targets, Proposed Targets, and Nominated Targets is deemed to be the Confidential Information of AbbVie.

  • Precision represents and warrants that as of the Effective Date, there are no Unavailable Targets.

  • Except as expressly set forth in this Section 2.1.3, Baxalta shall have no rights with respect to any Unavailable Targets, and Precision and its Affiliates may freely undertake and engage in, including in collaboration with Third Parties, any research, Development, Commercialization or any other activities of any kind in any field with respect to all Unavailable Targets without any obligation to Baxalta.

  • Within [***] Business Days following the Gatekeeper’s receipt of the Target Nomination Notice with respect to a Nominated Target, the Gatekeeper shall verify whether such Nominated Target is on the list of Unavailable Targets and notify AbbVie in writing (“Target Availability Notice”) whether such Nominated Target is or is not on the list of Unavailable Targets.

  • Prior to nomination of a Target (whether pursuant to Section 3.2.6 or Section 3.2.8), AbbVie may, in its discretion, disclose a Target it is considering for potential nomination (a “Proposed Target”) to the Gatekeeper and request in writing that the Gatekeeper confirm if the Proposed Target is on the list of Unavailable Targets.

  • As of the A&R Execution Date, Targets (for avoidance of doubt, other than the Lead Targets) with respect to which Precision has already completed a PC POC Study are listed on Exhibit 3.4 attached hereto, and are additionally deemed Unavailable Targets.


More Definitions of Unavailable Targets

Unavailable Targets means any [***] Target that is not available for nomination as a Collaboration Target by Genentech under this Agreement because such [***] Target is (a) the subject of an active, executed written agreement with a Third Party granting a license, or other rights with respect to Bicycle Constructs or products intended for use against such [***] Targets that would prevent BicycleTx from granting the rights to Genentech set forth in this Agreement, (b) the subject of an Internal Development Program, or (c) [***] such [***] Target.
Unavailable Targets shall also include (i) any Lead Target or Additional Target which is replaced by a Replacement Target, upon such replacement by Prevail pursuant to Section 3.3.1, (ii) Independently Developed Targets which Prevail does not elect to include as an Additional Target or Replacement Target pursuant to Section 3.4 prior to the expiration of the IDT Nomination Period for such Independently Developed Target, (iii) all Independently Developed Targets following the expiration of the Target Nomination Period or, if applicable, the Extended Target Nomination Period or once Prevail has named three (3) Additional Targets (whichever occurs first), and (iv) the Targets listed on Exhibit 3.4. Related to Unavailable Targets

  • Matched Positions for CFD trading shall mean Long and Short Positions of the same Transaction Size opened on the Client Account for the same CFD.

  • Soft Target means a target that will suffer minimum damage and cause minimum damage to the subject vehicle in the event of a collision.

  • Category 4 Data is data that is confidential and requires special handling due to statutes or regulations that require especially strict protection of the data and from which especially serious consequences may arise in the event of any compromise of such data.
