Unrecovered Investment definition

Unrecovered Investment means, at any time as to any Partially-Owned Subsidiary or any Unrestricted Subsidiary, the aggregate amount of consideration paid in connection with the acquisition of such Partially-Owned Subsidiary or Restricted Subsidiary and of all other Investments made in such Partially-Owned Subsidiary or Restricted Subsidiary at any time by any Credit Party, net of the aggregate amount received or recovered by any Credit Party or any Restricted Subsidiary in cash on account of such acquisition consideration or other Investments, as a return of the principal thereof and not on account of interest thereon or earnings or income attributable thereto.
Unrecovered Investment means, at any given time, the Capital Contribution of such Person decreased by (i) distributions made pursuant to Sections 6.2(b), 6.2(c), 6.3(b), 6.3(c) and 10.4(d), and (ii) the Gross Asset Value of any Property (other than cash) distributed to such Person without charge or reduction for any Profit or Loss allocated to such Person.
Unrecovered Investment means, at any time as to any Subsidiary that is then a Partially-Owned Subsidiary, the aggregate amount of the Acquisition Consideration for such Partially-Owned Subsidiary and of all other Investments in such Partially-Owned Subsidiary at any time made by any member of the Holdings Group, net of the aggregate amount received or recovered by the Borrower or a Wholly-Owned Borrower Subsidiary in cash on account of such Acquisition Consideration or other Investments, as a return of the principal thereof and not on account of interest thereon or earnings or income attributable thereto.

  • The Managing Member may, in its discretion, reduce the amount of any distributions to a Service Member under this Section 6.1 by all or any portion of the outstanding Unrecovered Investment Credit, if any, of the Service Member, which offset amounts shall instead be distributed to the Managing Member.

  • If after giving effect to any such increased Distribution to GS, the Unrecovered Investment Balance is less than the Projected Investment Value, all future Distributions of Distributable Value to GS shall be adjusted downward until such time as the Unrecovered Investment Balance is equal to the Projected Investment Value.

  • After March 31, 2012, prior to making any Distribution pursuant to Sections 4.5(b)(i), 4.5(c) or 4.5(d), the Board shall determine in good faith, in accordance with the methodology set forth on Schedule 4.5(b), the Projected Distributable Value, the Unrecovered Investment Balance and the Projected Investment Value (such calculations, the “Distribution Calculations”) and shall promptly provide the Distribution Calculations, along with relevant supporting documentation, to GS.

  • All proceeds received (and any Make-Whole Payment) received by a holder of Class B Units in respect of the Class B Units Transferred by such holder in a Tag-Along Sale shall be treated as a Distribution to such holder of Class B Units for all purposes of this Agreement (including reducing the Unrecovered Investment Balance).

  • In any Plan Year, the Committee may, in its sole discretion, reduce the amount of Annual FCF Bonus for the Plan Year payable to a Participant in cash by all or any portion of the Participant’s then outstanding Unrecovered Investment Credit.

  • For avoidance of doubt, no Liquidation Preference will be paid at any time after the date on which the Unrecovered Investment Balance has been reduced to zero (0).

  • covered investment means, with respect to a Party, an investment in its territory of an investor of the other Party in existence as of the date of entry into force of this Treaty or established, acquired, or expanded thereafter.

  • Restricted Investment means an Investment other than a Permitted Investment.

  • Adjusted Invested Amount means, with respect to any date of determination, an amount equal to the Invested Amount less the Principal Funding Account Balance on such date of determination.

  • Specified Investments means (a) direct obligations of the United States of America or obligations fully guaranteed by the United States of America; (b) commercial paper rated A-1/P-1 by S&P and Moody's, respectively or, if such ratings are unavailable, rated by any nationally recognized rating organization in the United States equal to the highest rating assigned by such rating organization; (c) investments in negotiable certificates of deposit, time deposits, banker's acceptances, commercial paper or other direct obligations of, or obligations guaranteed by, commercial banks organized under the laws of the United States or of any political subdivision thereof (or any U.S. branch of a foreign bank) with issuer ratings of at least B/C by Thomson Bankwatch, having maturities no later than 90 days following the date of such investment; (d) overnight federal funds transactions with members of the Federal Reserve System arranged by federal funds brokers; or (e) overnight repurchase agreements with respect to the securities described in clause (a) above entered into with an office of a bank or trust company which is located in the United States of America or any bank or trust company which is organized under the laws of the United States or any state thereof and has capital, surplus and undivided profits aggregating at least $500 million.
