User Party definition

User Party means you, your Affiliate, or a director, employee or agent of you or your Affiliate.
User Party means a User, its representatives, Affiliates, agents, advisors, contractors, subcontractors, suppliers of any tier and licensees, and each of their respective officers, directors, employees, successors and assigns, provided that any agents, advisors, contractors, subcontractors, suppliers and licensees shall only be a User Party to the extent that they are acting on behalf of or are providing services to such User in connection with such User’s TUA in the context where the term is used.
User Party means, in relation to any item of Infrastructure, any party to this deed which does not own or have a right to use such item of Infrastructure but is granted rights to use such item of Infrastructure by an Owner Party in accordance with this Transition Deed 5 deed, including, where such User Party is CNIFP, any person authorised by CNIFP to use such Infrastructure in connection with the management of the Business and where such party is a member of the FCF Group, any person authorised by FCF to use such Infrastructure in connection with the management of the FCF Group's own forest estate; and

Examples of User Party in a sentence

  • In such event, the User Party shall reimburse and compensate the Host Party for actual removal and transportation costs.

  • The Host Party may adjust its minimum insurance requirements hereunder at any time provided the User Party is given at least thirty (30) days written notice prior to such adjustment.

  • User Party will perform, at its cost, improvement(s) to the facility that may be required for safe and secure operations of its communications equipment.

  • Any improvement to the Host Party site necessary to accommodate User Party equipment installation will require pre-approval from the Host Party Point of Contact, per Section 13 of the Non-Exclusive License Agreement.

  • Equipment installed as permanent improvements to the building and/or site infrastructure will not be eligible for removal by the User Party, including air conditioning units, electrical upgrades and generators.

  • Similarly, upon the termination of an SSA, the User Party shall, within a reasonable time period, not to exceed six (6) months after the six (6) months notice period and, at its own cost, remove any of its property and equipment from the Hosting Site subject to that SSA.

  • User Party also shall carry such insurance as will protect it from all claims under any workmen’s compensation laws that are in effect and may be applicable to User Party.

  • User Party, during the term of this Agreement, including any renewals and any holding-over thereafter, shall provide the Host Party with current certificates of insurance evidencing that such insurance is in full force and effect, naming the Host Party as an additional insured, and is non-cancelable without at least thirty days’ written notice to the Host Party.

  • User Party shall carry adequate insurance to protect the Parties hereto against any and all claims, demands, actions, judgments, costs, expenses, and liabilities that may arise out of or result, directly or indirectly from User Party’s activities in connection with this Agreement, except such liability as shall arise solely from the negligence, intentional acts, or omissions of the Host Party.

  • In the event that a party fails to remove its property and equipment from a Hosting Site within the period of time as provided for in this Section, the Host Party may remove such property and equipment and return it to the User Party or to a mutually-agreed upon location.

Related to User Party

  • Purchaser Party shall have the meaning ascribed to such term in Section 4.8.

  • Billing Party means the Party rendering a bill.

  • BRRD Party means any party to this Agreement subject to the Bail-in Legislation.

  • Assisting Party means a party that provides assistance pursuant to this Agreement during an emergency or disaster.

  • Third Party Claim has the meaning set forth in Section 8.3.

  • Mediation party means a person that participates in a mediation and whose agreement is necessary to resolve the dispute.

  • Third Party Provider means licensors, subcontractors and suppliers of BNYM furnishing the Third Party Products.

  • Independent Third Party means any Person who, immediately prior to a contemplated transaction, does not own in excess of 5% of the Company’s Common Units on a fully-diluted basis (a “5% Owner”), who is not controlling, controlled by or under common control with any such 5% Owner and who is not the spouse or descendant (by birth or adoption) of any such 5% Owner or a trust for the benefit of such 5% Owner and/or such other Persons.

  • Contracting Party shall have the meaning designated in the preamble to Section 5.2 hereof.

  • Indemnifying Party shall have the meaning set forth in Section 5(c).

  • Other Party shall have the meaning set forth in Section 2.9(a).

  • Indemnified Party shall have the meaning set forth in Section 5(c).

  • Third Party Service Provider means any consultant, agent, advisor, or independent contractor who renders services to the Company, a Subsidiary, or an Affiliate that (a) are not in connection with the offer and sale of the Company’s securities in a capital raising transaction, and (b) do not directly or indirectly promote or maintain a market for the Company’s securities.
