Utility Reservations definition

Utility Reservations means the Company’s interest in the right to receive and continuously consume (including, without limitation, from and after Closing) water service, sanitary and storm sewer service, electrical service, gas service and telephone service on and for the Land and Improvements in capacities that are adequate continuously to use and operate the Improvements for the purposes for which they were intended, including, but not limited to (i) any right to the present and future use of wastewater, drainage, water and other utility facilities to the extent such use benefits the Real Property, (ii) any reservations of or commitments covering any such use in the future, and (iii) any wastewater capacity reservations relating to the Real Property.

Utility Reservations means, to the extent assignable, Seller’s interest in the right to receive immediately on and after Closing and continuously consume thereafter water service, sanitary and storm sewer service, electrical service, gas service and telephone service on and for the Land and Improvements in capacities that are adequate continuously to use and operate the Improvements for the purposes for which they were intended, including, but not limited to (i) any right to the present and future use of wastewater, drainage, water and other utility facilities to the extent such use benefits the Real Property, (ii) any reservations of or commitments covering any such use in the future, and (iii) any wastewater capacity reservations relating to the Real Property. Buyer shall be responsible for any requests or documents to transfer the Utility Reservations, at Buyer’s sole cost and expense. Any existing deposits for Utility Reservations made by Seller shall be paid to seller in cash or in the form of a credit at closing.

Examples of Utility Reservations in a sentence

Without limiting the foregoing, Seller shall instruct Manager to deliver to Purchaser by Closing (i) summaries of occupancies, rates, and total food and beverage volumes, (ii) updated Financial Statements, and (iii) an update, if any is necessary, of the Schedule of Service Contracts, the Schedule of Tangible Personal Property Leases, the Schedule of Leases, and the Schedule of Deposits and Utility Reservations, along with a true copy of any new written agreements described therein.
Such instruments shall include, if appropriate, any documents required to effectively transfer the Utility Reservations by Seller to Purchaser.
A "special warranty" xxxx of sale transferring ------------ Seller's interest in all FF&E, Supplies, Warranties, Licenses, Tradenames, Plans and Specs, Utility Reservations, Records, Deposits, Cash and Equivalents, and other personal property in a form reasonably acceptable to both Purchaser and Seller (the "XXXX OF SALE").
The vendor shall provide all training necessary to make the election office staff 100% independent of the vendor for election setup, acceptance testing of equipment, logic and accuracy testing, and routine systems diagnostics, as well as Election Day field support.
Seller will cause Manager to assist Buyer in connection with the preparation of any requests or documentation necessary to transfer the Utility Reservations to Buyer, at Buyer’s sole cost and expense, in connection with the Closing for the Hotel.

All of the Property shall be conveyed, assigned, and transferred to Buyer at Closing, free and clear of all mortgages, liens, encumbrances, licenses, franchises, concession agreements, security interests, prior assignments or conveyances, conditions, restrictions, rights-of-way, easements, encroachments, claims and other matters affecting title or possession, except for the Permitted Exceptions (as hereinafter defined).

Utility Reservations means, with respect to each Hotel, the Company’s interest in the right to receive and continuously consume (including, without limitation, from and after Closing) water service, sanitary and storm sewer service, electrical service, gas service and telephone service on and for the Land and Improvements in capacities that are adequate continuously to use and operate the Improvements for the purposes for which they were intended, including, but not limited to (i) any right to the present and future use of wastewater, drainage, water and other utility facilities to the extent such use benefits the Real Property, (ii) any reservations of or commitments covering any such use in the future, and (iii) any wastewater capacity reservations relating to the Real Property.

''Warranties'' shall mean all warranties, guaranties, indemnities and claims, currently in effect, for the benefit of the Company with respect to the Hotel, the Property or any portion thereof, including, without limitation, all warranties and guaranties of the development, construction, completion, installation, equipping and furnishing of the Hotel, and all indemnities, bonds and claims of the Company related thereto.
