Valuation Bank definition

Valuation Bank shall have the meaning set forth in Section 9.4(d).
Valuation Bank an internationally recognized investment bank selected by Bank from the list attached hereto as Schedule A.

Examples of Valuation Bank in a sentence

  • Any sale or disposition of the Collateral to an Affiliate of Lender other than in a public sale held in accordance with the Uniform Commercial Code shall be based upon the valuation provided by the Valuation Bank.

  • In the event that Borrower and Lender shall fail to agree upon a candidate for a Valuation Bank, then Borrower and Lender shall each choose a Valuation Bank that will agree upon the selection of a third Valuation Bank who shall be the final binding candidate.

Related to Valuation Bank

  • Collection Bank means, at any time, any of the banks holding one or more Collection Accounts.

  • Valuation Agent means Party A in all circumstances.

  • Mitigation bank means a site providing off-site, consolidated compensatory mitigation that is developed and approved in accordance with all applicable federal and state laws or regulations for the establishment, use and operation of mitigation banks, and is operating under a signed banking agreement.

  • Concentration Account Bank shall have the meaning assigned to such term in Section 9.01(e)(i).

  • Valuation Date means the earliest of the following days:

  • Valuation Point means such time as shall be specified in the relevant Supplement for each Fund.

  • Valuation means an estimate of the value of real estate or real property.

  • Valuation Report means the valuation report or reports for mortgage purposes, in the form of the pro-forma contained in the Standard Documentation, obtained by the Seller from a Valuer in respect of each Mortgaged Property or a valuation report in respect of a valuation made using a methodology which would be acceptable to a reasonable prudent mortgage lender;

  • Collection Account Bank means any of the banks or other financial institutions holding one or more Collection Accounts.

  • Concentration Accounts has the meaning ascribed to it in Annex C.

  • Settlement Account means an account established at a financial institution designated by Merchant as the account to be credited and debited by the Servicers for Transactions, Card Fees, Chargebacks and other amount assessed by a Card Association and passed- through to Merchant pursuant to the terms of this Agreement.

  • Crediting Date means the date designated in the Adoption Agreement for crediting the amount of any Participant Deferral Credits or Employer Credits to the Deferred Compensation Account of a Participant.

  • Purchase Price Bank Account means a bank account in the United States to be designated by the Seller in a written notice to the Purchaser at least five Business Days before the Closing.

  • Concentration Account has the meaning provided in Section 6.13(c).

  • Eligible Bank means a bank or trust company that (i) is organized and existing under the laws of the United States of America or Canada, or any state, territory, province or possession thereof, (ii) as of the time of the making or acquisition of an Investment in such bank or trust company, has combined capital and surplus in excess of $500.0 million and (iii) the senior Debt of which is rated at least “A-2” by Moody’s or at least “A” by Standard & Poor’s.

  • Agent’s Account means the Deposit Account of Agent identified on Schedule A-1.

  • Valuation Day means any day on which Repo Custodian is open for business.

  • Collateral Account Bank a bank which at all times is a Collateral Agent or a Lender or an affiliate thereof as selected by the relevant Grantor and consented to in writing by the Collateral Agent (such consent not to be unreasonably withheld or delayed).

  • Online Account means the Bank account from which you will be conducting transactions using a Service;

  • Designated Bank Account means the relevant bank account designated by each Holder;

  • Designated Account Bank has the meaning specified therefor in Schedule D-1 to the Agreement (or such other bank that is located within the United States that has been designated as such, in writing, by Borrowers to Agent).

  • Administrative Agent’s Account means, for each Currency, an account in respect of such Currency designated by the Administrative Agent in a notice to the Borrower and the Lenders.

  • Deposit Account Bank means a financial institution selected or approved by the Administrative Agent.

  • Distribution Account Deposit Date As to any Distribution Date, 12:30 p.m. Pacific time on the Business Day immediately preceding such Distribution Date.

  • Acceptable Bank means (a) a bank or financial institution which has a rating for its long-term unsecured and non credit-enhanced debt obligations of A- or higher by S&P or A2 or higher by Moody's or a comparable rating from an internationally recognized credit rating agency; or (b) any other bank or financial institution approved by each Agent.
