Vested Optioned Shares definition

Vested Optioned Shares has the meaning specified in Section 5(a) hereof.
Vested Optioned Shares means Optioned Shares which are not subject to the Corporation’s Right of Repurchase.
Vested Optioned Shares such that all of the Optioned Shares shall be Vested Optioned Shares as of and after June 26, 2010 if a Termination Date does not occur prior to such date. Examples of Vested Optioned Shares in a sentence

  • The Optionee shall have the right to exercise this Option for all or a portion of the Optioned Shares which have become Vested Optioned Shares as of the date of exercise in accordance with this paragraph (a).

  • Upon the occurrence of a Disposition Event (other than a Qualified Public Offering) prior to a Termination of Employment, 50% of the then Unvested Optioned Shares shall become Vested Optioned Shares.

  • In the event that a Base EBITDA Target is not met for either the 2008 or the 2009 fiscal year, such one third (1/3rd) of the original number of Performance Optioned Shares shall not become Vested Optioned Shares unless and until the Company meets the Base EBITDA Target for the following fiscal year.

  • Any Vested Option may be exercised in accordance with the Rules, which govern the “Exercise Date” and require written notice on a Company form which states the election to exercise the Option and the total number of Vested Optioned Shares that are being exercised.

  • In no event shall the aggregate number of Vested Optioned Shares exceed the total number of Optioned Shares.

  • No portion of the Option shall be exercisable with respect to a fractional Share, and no fewer than one hundred (100) Vested Optioned Shares may be purchased in connection with the exercise of any portion of an Option (unless the remaining unexercised Vested Optioned Shares are fewer than one hundred (100)).

  • Upon the occurrence of a Disposition Event (other than a Qualified Public Offering) prior to a Termination of Appointment, 50% of the then Unvested Optioned Shares shall become Vested Optioned Shares.

  • One twelfth (1/12th) of the remaining 1,165,676,096 Tenured Optioned Shares shall become “Vested Optioned Shares” upon the expiration of each three (3) month period after the Grant Date, such that all of the Tenured Optioned Shares shall be Vested Optioned Shares as of and after the third anniversary of the Grant Date, if the Option has not terminated prior to such date.

Related to Vested Optioned Shares

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to exercise the Option.

  • Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.

  • Optioned Shares means the shares of Common Stock that are issued pursuant to the exercise of the Options;

  • Vested Shares means "Vested Shares" as defined in the Award Agreement.

  • Non-Vested Shares means any portion of the Restricted Stock subject to this Agreement that has not become vested pursuant to this Section 2.

  • Option Shares shall have the meaning ascribed to such term in Section 2.2(a).

  • Optioned Stock means the Common Stock subject to an Option.

  • Unvested Shares means "Unvested Shares" as defined in the Award Agreement.

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Unvested Company Option means any Company Option that is not a Vested Company Option.

  • Vested Company Option means each Company Option outstanding as of immediately prior to the Effective Time that is vested as of immediately prior to the Effective Time or will vest solely as a result of the consummation of the Merger.

  • Award Shares means Shares covered by an outstanding Award or purchased under an Award.

  • Related Option means an Option with respect to which a Stock Appreciation Right has been granted.

  • Parent Stock Option means any option to purchase Parent Common Stock granted under any Parent Stock Plan.

  • Restricted Shares shall have the respective meanings set forth in Section 2.14.

  • Unvested LTIP Units has the meaning provided in Section 4.4(d) hereof.

  • Vested LTIP Units has the meaning provided in Section 4.4(d) hereof.

  • Rollover Option has the meaning set forth in Section 2.4(a).

  • Unissued Option Shares means the number of Shares, at a particular time, which have been reserved for issuance upon the exercise of an Option but which have not been issued, as adjusted from time to time in accordance with the provisions of section 5, such adjustments to be cumulative.

  • Vested Portion means, at any time, the portion of an Option which has become vested, as described in Section 3 of this Agreement.

  • Director Option means an Option granted pursuant to Section 6.

  • Company Stock Option means any option to purchase one or more shares of the Company’s Common Stock granted under any of the Company Stock Plans.

  • Promised Options means promised but ungranted Options that are the greater of those (i) promised pursuant to agreements or understandings made prior to the execution of, or in connection with, the term sheet or letter of intent for the Equity Financing or Liquidity Event, as applicable (or the initial closing of the Equity Financing or consummation of the Liquidity Event, if there is no term sheet or letter of intent), (ii) in the case of an Equity Financing, treated as outstanding Options in the calculation of the Standard Preferred Share’s price per share, or (iii) in the case of a Liquidity Event, treated as outstanding Options in the calculation of the distribution of the Proceeds.

  • Top-Up Option has the meaning set forth in Section 1.04(a).

  • RSU Shares means shares of Common Stock that underlie an RSU.
