Withholding Tax Action definition

Withholding Tax Action has the meaning set forth in Section 8.3(c).
Withholding Tax Action is defined in Section 5.6.4.
Withholding Tax Action means an assignment of all or any portion of this Agreement by Licensee, change of control of Licensee, change of jurisdiction of payments by Licensee, or change of domicile by Licensee that causes a withholding Tax obligation to arise or which increases a withholding Tax obligation with respect to an amount payable to Licensor pursuant to this Agreement, except to the extent a Change of Control of Licensee or change of domicile of Licensee is caused by the direct or indirect ownership of Licensee by Licensor or any of Licensor’s direct or indirect owners.

Examples of Withholding Tax Action in a sentence

  • If a change in Applicable Laws results in a withholding or deduction obligation absent either Party taking a Withholding Tax Action, then the amount of such withholding or deduction obligation shall be paid by Licensee to the applicable Governmental Authority on behalf of Exelixis, provided that Licensee shall assist Exelixis in minimizing or recovering such withholding or deduction obligation.

  • For clarity, if Licensee undertakes a Withholding Tax Action, then the sum payable by Licensee (in respect of which such deduction or withholding is required to be made) shall be increased to the extent necessary to ensure that Exelixis receives a sum equal to the sum which it would have received had no such Withholding Tax Action occurred.

Withholding Tax Action means (i) a permitted assignment by Disc pursuant to Section 13.3 to an Affiliate outside of the United States; (ii) the exercise by Disc of its rights under this Agreement through an Affiliate outside of the United States; (iii) a redomiciliation of Disc, or an assignee or a successor to a jurisdiction outside the United States; and (iv) any action by Disc that causes this Agreement to become subject to tax in a jurisdiction outside of the United States or subject any Payments to withholding in any jurisdiction that would not have been required absent such action.
