Change of Jurisdiction. None of You will change Your state of organization unless You have obtained Our prior written consent, which consent shall not be unreasonably withheld. You must give Us no less than thirty (30) days prior written notice.
Change of Jurisdiction. The Company will not reincorporate or otherwise reorganize in a jurisdiction outside of the United States.
Change of Jurisdiction amend the receivables and securities pledge agreement dated 9 August 2002 between, among others, Telenet Group Holding NV as pledgor and KBC Bank NV as Security Agent to delete the words “validly existing under the laws of Belgium” at Clause 6.1(a) of that agreement and replace them with “validly existing under the laws of its jurisdiction of incorporation”, as well as amend in the same manner any other Security Document governed by Belgian law which contains a similar representation or undertaking regarding the jurisdiction of incorporation of the pledgor. Also amend the Credit Agreement such that:
(a) in relation to Telenet Group Holding NV (but only for so long as it is not a member of the Group) or any other entity which is not a member of the Group but which has provided security under the Credit Agreement which is governed by Belgian law, if as a result of a change of jurisdiction of incorporation (including as a result of a merger), the security granted by it would not continue to be effective, the relevant company shall, prior to such change of jurisdiction, consult with the Security Agent (acting reasonably), with a view to taking steps (other than a release and retake of the security) to ensuring the continuity and effectiveness of the security. The relevant company shall undertake all such commercially reasonable steps to ensure the continuity and effectiveness of the security prior to any change of jurisdiction. If no such steps can be taken, it (or the surviving entity in a merger) will enter into replacement security prior to or on the date of any change of jurisdiction on terms which are (x) consistent with that of the existing security and (y) satisfactory to the Security Agent (acting reasonably), and the Security Agent will be authorised to release the existing security following such replacement. Clause 22.11 (Effectiveness of Finance Documents) will be amended to include a carve-out to paragraphs (b) and (c) where any existing security agreement governed by Belgian law is released and therefore ceases to be effective in accordance with this paragraph; and
(b) in relation to any member of the Group which has provided security which is governed by Belgian law, if as a result of a change of jurisdiction of incorporation (including by way of a merger in accordance with Clause 21.9 (Acquisitions and Mergers) of the Credit Agreement), the security granted by it would not continue to be effective or the obligations under the security documents...
Change of Jurisdiction. The Collection Agent will notify the Administrative Agent and the Insurer of any change in the jurisdiction of organization of SunGard Parent, each Seller, the Collection Agent, the Transferor or the Borrower.

Each Pledgor shall give to the Collateral Agent prompt notice after such Pledgor learns of, but in any event within 60 days after such Pledgor learns of, any change of the Jurisdiction of a securities intermediary or a commodity intermediary maintaining a securities account or commodity account that itself is Collateral, or to which investment property or financial assets are credited (or with respect to which there are security entitlements), or in which commodity contracts are carried, that are Collateral, specifying such new Jurisdiction.
