Xxxx Options definition

Xxxx Options means the options to be granted to St. Xxxx pursuant to the Option Agreement. "ST. XXXX PRE-CLOSING SUBSIDIARIES" has the meaning specified in Article V.

• There are no restricted stock, stock appreciation rights, restricted stock units, dividend equivalent rights, other equity compensation awards or other rights to purchase or receive Xxxx Common Stock granted under the Xxxx Stock Option Plan, or compensatory awards of units in the Xxxx Operating Partnership, or otherwise other than the Xxxx Options.

Xxxx Options means the Company’s outstanding options in favor of Xxxxx X. Xxxx pursuant to that certain Stock Option Agreement, dated as of October 24, 2002, as amended as of December 8, 2003.
