Xxxxx Entity definition

Xxxxx Entity means any of the Xxxxx Entities.

Xxxxx Entity means FFW, Xxxxx X. XxXxx, or any of their respective Affiliates.

• The Company shall not, without the prior written consent of Xxxxxxx Xxxxx, effect any settlement of any pending or threatened proceeding in respect of which any Xxxxxxx Xxxxx Entity is or could have been a party and indemnity could have been sought hereunder by such Xxxxxxx Xxxxx Entity, unless such settlement includes an unconditional release of the Xxxxxxx Xxxxx Entities from all liability on claims that are the subject matter of such proceeding.

• Notwithstanding the provisions of this Section 10, no Xxxxxxx Xxxxx Entity shall be required to contribute any amount in excess of the amount by which the total price at which the Directed Shares distributed to the public were offered to the public exceeds the amount of any damages that such Xxxxxxx Xxxxx Entity has otherwise been required to pay.

• The Partnership Group will provide written notice of its decision to Xxxxx GP or the Xxxxx Entity within 30 days after the investment banking firm has submitted its determination.

• The Company shall not be liable for any settlement of any such action effected without its written consent, but if settled with such written consent, or if there be a final judgment for the plaintiff in any such action, the Company agrees to indemnify and hold harmless any Xxxxxxx Xxxxx Entity from and against any loss, claim, damage, liability or expense by reason of such settlement or judgment.

• The fees of the investment banking firm will be split equally between Xxxxx GP or the Xxxxx Entity and the Partnership Group.

More Definitions of Xxxxx Entity

Xxxxx Entity means any of the Xxxxx Transferors or any Affiliate thereof.

Xxxxx Entity means Xxxxx and each of its Affiliates

Xxxxx Entity means either of the Transferors or any other Affiliate of TMLP.

Xxxxx Entity means and include any lineal descendants of Xxxxxx Xxxxx, any spouses of any such descendants, any corporation, partnership, limited liability company or other business entity owned or controlled by any of such persons and any trust established for the benefit of any such persons. The term "Material Default" shall mean all material defaults by Tenant in the observance or performance of the terms, covenants and conditions of this Lease on Tenant's part to be observed or performed, including, without limitation, any default (i) involving the payment of any sum of money then due and owing from Tenant to Owner, (ii) in the observance or performance of any terms, covenants or conditions of this Lease required to be observed or performed by Tenant, the violation of which or failure to act shall adversely affect (x) the appearance, operation or use of the Building, other than the Demised Premises or (y) any other tenants in the Building, and (iii) in the observance or performance of any of the terms and condition of the Lease required to be observed or performed by Tenant pursuant to Articles 2, 3, 6, 7, 35, 42 and 51 and Section 13.01 and Article 11 with respect to any obligations on Tenant's part in connection with (i) assignments of the Lease or sublettings of the Demised Premises or a portion thereof, including, without limitation, obtaining any necessary consents and (ii) obligations (xx) to pay Owner any sums of money, (yy) with respect to Owner's recapture rights and (zz) with respect to Tenant's indemnification obligations pursuant to Section 11.09.

Xxxxx Entity has the meaning set forth in Section 7.15(c)(i).

Xxxxx Entity means The Xxxxx Organization and/or any entity owned or controlled by, or trust(s) set up primarily for the benefit of, one or more of the members of the immediate family of Xxxxxx Xxxxx. For purposes of the foregoing definition, (a) the term “control” shall mean the ownership, directly or indirectly, of at least 50% of the outstanding stock if a corporation, or other equity interest if not a corporation, and the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of such entity, whether through the ownership of voting securities or by contract or otherwise and (b) the phrase “members of the immediate family” shall mean a spouse, a sibling, a lineal ancestor or descendant (including a legally adopted child) and a spouse of any lineal ancestor or lineal descendant.

Xxxxx Entity means either of the Contributors or any other Affiliate of TMLP.
