Xxxxxx Interests definition

Xxxxxx Interests means Xxxxxx X. Xxxxxx and his siblings, their descendants and any relative by marriage of the foregoing, and any trust for the benefit of any of the foregoing whether as an income or residual beneficiary.

Xxxxxx Interests any of (i) X. Xxxxxx Xxxxxx, Xxx X. Xxxxxx, Xxxxx X. Xxxxxx, the Estate of Xxxx X. Xxxxxx, JCL Holdings LLC and JTW Trust No.1 UAD 9/19/02, (ii) a parent, brother, sister or lineal descendent of the individuals named in clause (i), (iii) the spouse of any individual identified in (i) or (ii), (iv) the estate or any guardian, custodian or other legal representative of any individual identified in clauses (i) through (iii), (v) any trust established solely for the benefit of any one or more of the individuals identified in clauses (i) through (iii), and (vi) any Person all of the equity interests in which are beneficially owned, directly or indirectly, by any one or more of the Persons identified in clauses (i) through (v).

Xxxxxx Interests has the meaning set forth in the recitals to this Agreement.

Xxxxxx Interests means, individually, collectively, or in any combination, The Estate of Xxx X. Xxxxxx, Deceased, Xxx X. Xxxxxx’x descendants, the heirs and/or legatees and/or distributees of Xxx X. Xxxxxx’x estate, and/or trusts (including, without limitation, one or more voting trusts) established for the benefit of Xxx X. Xxxxxx’x descendants, heirs and/or legatees and/or distributees.

Xxxxxx Interests has the meaning set forth in Section 1.02.

Xxxxxx Interests means 100% of the outstanding membership interests of Xxxxxx and any other ownership interests in Xxxxxx.

Xxxxxx Interests and “Xxxxxx Xxxxxxx” shall have the meanings provided in the Preliminary Statements.
