Xxxxxxx Notes definition

Xxxxxxx Notes means, collectively, those certain Promissory Notes, each dated as of October 1, 2009, executed by certain Subsidiaries of the Borrower for the benefit of Xxxxxxx Land Enterprises, L.L.C.

Xxxxxxx Notes means, whether or not outstanding, the 11 1⁄4% Senior Notes due 2016, the 11 1⁄2% Senior Notes due 2016 (including any notes issued in exchange therefor), the 9 1⁄4% Senior Notes due 2016, the 9 1⁄2% Senior Notes due 2016 (including any notes issued in exchange therefor), the 8 1⁄2% Senior Notes due 2019 (including any notes issued in exchange therefor), the 7 1⁄4% Senior Notes due 2019 (including any notes issued in exchange therefor), the 7 1⁄4% Senior Notes due 2020 (including any notes issued in exchange therefor), the 7 1⁄2% Senior Notes due 2021 (including any notes issued in exchange therefor), the 6 5⁄8% Senior Notes due 2022 (including any notes issued in exchange therefor) and the 5 1⁄2% Senior Notes due 2023 (including any notes issued in exchange therefor) , in each case, of the Issuer.

Xxxxxxx Notes means, whether or not outstanding, the 11 1/4% Senior Notes due 2016, the 11 1/2% Senior Notes due 2016 (including any notes issued in exchange therefor), the 9 1/4% Senior Notes due 2016, the 9 1/2% Senior Notes due 2016 (including any notes issued in exchange therefor), the 8 1/2% Senior Notes due 2019 (including any notes issued in exchange therefor), the 7 1/4% Senior Notes due 2019 (including any notes issued in exchange therefor), the 7 1/4% Senior Notes due 2020 (including any notes issued in exchange therefor) and the 7 1/2% Senior Notes due 2021 (including any notes issued in exchange therefor), in each case, of the Issuer.

• The applicable supplement to the Prospectus referred to below will specify whether Xxxxxx Xxxxxxx Notes, Xxxxxx Xxxxxxx Warrants, Xxxxxx Xxxxxxx Purchase Contracts and such other securities or property comprised by a Xxxxxx Xxxxxxx Unit may or may not be separated from any series of Xxxxxx Xxxxxxx Units.

• Other than with respect to the Xxxxxxx Notes and the Xxxxxxx Senior Credit Facility, no Company has pledged any of its assets in support of, no Equity Interests of any Company have been pledged in support of, and no Company has guaranteed or is obligated to guarantee, any obligations of Sellers or any of their Controlled Affiliates (other than the Companies).

• Pursuant to Section 19 of each of the Promissory Notes, the Senior Subordinated Notes and the Xxxxxxx Notes, the Required Holders hereby consent to the terms of the amendments to the Promissory Notes, the Senior Subordinated Notes, the Xxxxxxx Notes and the Security Agreements contained in this Amendment and direct the Holder Representative to enter into this Amendment.

More Definitions of Xxxxxxx Notes

Xxxxxxx Notes means the notes and debentures issued in connection with that certain Indenture, dated as of September 29, 2010, by and among Xxxxxxx, LLC (f/k/a Pinafore, LLC), Xxxxxxx, Inc. (f/k/a Pinafore, Inc.), the Note Guarantors party thereto from time to time and Wilmington Trust, National Association (successor by merger to Wilmington Trust FSB), as trustee and collateral agent, and the related Collateral Documents, in each case as amended, modified, supplemented or waived from time to time.

Xxxxxxx Notes means the Subordinated Promissory Notes, dated January 2, 1997, from Xxxxx-Xxxxxxx NeuroCare, L.P. to Xxxxxxx Neurotechnologies Corporation in the face amount of $600,000 and $450,000.

Xxxxxxx Notes means the 7 1/4% Senior Notes due 2020 (including any notes issued in exchange therefor), the 7 1/2% Senior Notes due 2021 (including any notes issued in exchange therefor), the 5 1/2 Senior Notes due 2023 (including any notes issued in exchange therefor) and the 9 3/4% Senior Notes due 2025 (including any notes issued in exchange therefor), in each case, of Intelsat Xxxxxxx.

Xxxxxxx Notes means the Xxxxxxx Non-Guaranteed Notes and the Xxxxxxx Guaranteed Notes.

Xxxxxxx Notes means the Existing Xxxxxxx Notes, the Stage II Notes and any other Additional Notes issued pursuant to the Existing Xxxxxxx Indenture.

Xxxxxxx Notes means Indebtedness in an amount not to exceed $3.5 million incurred to finance the acquisition of the Xxxxxxx Property.

Xxxxxxx Notes shall have the meaning set forth in Section 2.2(a).
