Consents and Waivers. 5.1. Guarantor hereby waives notice of acceptance of this Guaranty, other than Beneficiary’s signature on this Guaranty, and presentment and demand concerning the liabilities of Guarantor, except as required in Section 4 above. The Guarantor hereby waives the benefits of orden, excusión and división provided for in the Mexican Federal Civil Code (Código Civil Federal). 5.2. Except as to applicable statutes of limitations, and unless provided otherwise in the Contract, Guarantor hereby agrees that no delay of Beneficiary in the exercise of, or failure to exercise, any rights hereunder shall operate as a waiver of such rights, a waiver of any other rights, or a release of Guarantor from any obligations hereunder, provided such obligations arose during the effectiveness of the Guaranty. 5.3. Guarantor consents to the renewal, compromise, extension, acceleration or any other changes in the time of payment, amounts, or terms of the Obligations, as agreed to by the Company. Guarantor consents to all changes, amendments, restatements or modifications to the rates or terms of the Contract, as agreed to in writing by Company. 5.4. Except as expressly reserved hereunder, and without limiting the effect of the waivers and consents in this Section 5, Guarantor hereby waives any other circumstance which might otherwise constitute a legal or equitable discharge or defense of a guarantor generally with respect to the Obligations. 5.5. ▇▇▇▇▇▇▇▇▇ agrees that Guarantor’s payments hereunder shall be made in immediately available funds.
