  • Recesso per giusta causa Qualora taluno dei componenti l’organo di amministrazione o l’amministratore delegato o il direttore generale o il responsabile tecnico dell’Appaltatore siano condannati, con sentenza passata in giudicato, ovvero con sentenza di applicazione della pena su richiesta ex art. 444 c.p.p., per delitti contro la pubblica Autorità, l’ordine pubblico, la fede pubblica o il patrimonio, ovvero siano assoggettati alle misure previste dalla normativa antimafia, l’Autorità ha diritto di recedere dal presente contratto in qualsiasi momento e qualunque sia il suo stato di esecuzione, senza preavviso. In ogni caso, l’Autorità potrà recedere dal contratto qualora fosse accertato il venir meno di ogni altro requisito morale richiesto dall’art. 38 del D.Lgs. n. 163/06 e s.m.i.. In caso di mutamenti di carattere organizzativo interessanti l’Autorità che abbiano incidenza sull’esecuzione della fornitura o della prestazione dei servizi, la stessa Autorità potrà recedere in tutto o in parte unilateralmente dal contratto di fornitura, con un preavviso di almeno 30 (trenta) giorni solari, da comunicarsi al Fornitore con lettera raccomandata a/r. Nelle ipotesi di recesso per giusta causa di cui al presente articolo, l’Appaltatore ha diritto al pagamento di quanto correttamente eseguito a regola d’arte secondo i corrispettivi e le condizioni di contratto e rinuncia, ora per allora, a qualsiasi pretesa risarcitoria, ad ogni ulteriore compenso o indennizzo e/o rimborso delle spese, anche in deroga a quanto stabilito all’art. 1671 codice civile.

  • Recesso del contratto Roma Capitale si riserva la facoltà di recedere unilateralmente dal contratto del presente accordo quadro per motivi di interesse pubblico, salvo congruo avviso, previa trasmissione di apposita comunicazione tramite PEC/raccomandata all’appaltatore e fatte salve le indennità al medesimo spettanti ai sensi dell’art. 1671 del codice civile. Ai sensi dell’art.1, comma 13 del D.L. n. 95/2012, come convertito con modificazioni, nella L. n. 135/2012, Roma Capitale una volta validamente sottoscritto/i il/i contratto/i applicativo/i ha diritto di recedere in qualsiasi tempo dal/icontratto/iapplicativo/i medesimo/i, previa formale comunicazione all'appaltatore con preavviso non inferiore a quindici giorni e previo pagamento delle prestazioni già eseguite oltre al decimo delle prestazioni non ancora eseguite, nel caso in cui, tenuto conto anche dell'importo dovuto per le prestazioni non ancora eseguite, i parametri delle convenzioni stipulate da Consip S.p.A. ai sensi dell'articolo 26, comma 1, della legge 23 dicembre 1999, n. 488, successivamente alla sottoscrizione del/i predetto/icontratto/iapplicativo/i, siano migliorativi rispetto a quelli del/icontratto/i applicativo/i sottoscritto/i e l'appaltatore non acconsenta ad una modifica delle condizioni economiche tale da rispettare il limite di cui all'articolo 26, comma 3 della legge 23 dicembre 1999, n. 488. Ogni patto contrario alla presente disposizione è nullo. Allorquando la normativa consente di procedere anche in assenza della informativa antimafia ovvero nei casi di urgenza ai sensi dell’art. 92, comma 3 del D. Lgs. n. 159/2011 e ss. mm. e ii.,i contributi, i finanziamenti, le agevolazioni e le altre erogazioni di cui all’art. 67 del D. Lgs. n. 159/2011 e ss. mm. e ii. medesimo sono corrisposti sotto condizione risolutiva e Roma Capitale recede dai contratti applicativi e dal contratto di accordo quadro, fatto salvo il pagamento del valore delle prestazioni già eseguite e il rimborso delle spese sostenute per l'esecuzione del rimanente, nei limiti delle utilità conseguite. La revoca e il recesso di cui sopra si applicano anche quando gli elementi relativi a tentativi di infiltrazione mafiosa siano accertati successivamente alla stipulazione del contratto di accordo quadro e alla sottoscrizione del/i contratto/i applicativo/i inerenti.

  • Valuta Gli importi relativi ai premi assicurativi ed alle prestazioni assicurate verranno calcolati, e conseguentemente corrisposti, nella moneta nazionale vigente al momento del pagamento.

  • NUOVI PREZZI Le variazioni sono valutate ai prezzi di contratto, ma se comportano categorie di lavorazioni non previste o si debbano impiegare materiali per i quali non risulta fissato il prezzo contrattuale si provvede alla formazione di nuovi prezzi. I nuovi prezzi delle lavorazioni o materiali sono valutati:

  • Prevenzione Le parti considerano inammissibile ogni atto o comportamento che si configuri come molestia sessuale e riconoscono il diritto delle lavoratrici e dei lavoratori ad essere trattati con dignità e ad essere tutelati nella propria libertà personale. Le aziende adotteranno, d'intesa con le R.S.A./R.S.U., le iniziative utili a prevenire le problematiche di cui sopra. Le parti concordano che le iniziative e gli interventi di cui sopra saranno portate a conoscenza di tutti i lavoratori/lavoratrici, anche, ad esempio, mediante affissione in ogni singola unità produttiva ed in luogo accessibile a tutti. Le parti affidano ad una apposita Commissione paritetica che avrà sede presso l'Ente bilaterale territoriale il compito di ricevere notizie, segnalazioni o denuncie di molestie sessuali. Tale Commissione, in caso di necessità, potrà avvalersi di professionalità esterne. Ogni lavoratrice/lavoratore potrà ricevere assistenza e consulenza dalla Commissione. La Commissione avrà anche il compito di diffondere il codice di condotta e di individuare eventuali specifici percorsi formativi rivolti alle imprese e ai lavoratori. Confcommercio, FILCAMS, FISASCAT e UILTUCS, chiedono al Governo che tali programmi di formazione siano considerati azioni positive anche ai fini dell'ammissione ai finanziamenti di cui all'art. 2 della legge 10 aprile 1991, n. 125, ed a tale scopo verrà redatto un avviso comune.

  • FORO COMPETENTE E LEGGE APPLICABILE Il Foro competente a dirimere eventuali controversie è quello di residenza o domicilio elettivo del Cliente consumatore. I rapporti con i Clienti sono regolati, salvo accordi specifici, dalla legge italiana.

  • CAPACITÀ ECONOMICA E FINANZIARIA (Articolo 83, comma 1, lettera b), del Codice)

  • Dichiarazione di responsabilità I soggetti elencati al precedente Paragrafo 1.1 del Prospetto Informativo dichiarano, ciascuno per le parti di rispettiva competenza che, avendo adottato tutta la ragionevole diligenza a tale scopo, le informazioni contenute nel Prospetto Informativo sono, per quanto a propria conoscenza, conformi ai fatti e non presentano omissioni tali da alterarne il senso. Il Prospetto Informativo è conforme al modello depositato presso la Consob in data 5 giugno 2015 a seguito di comunicazione del provvedimento di approvazione con nota del 4 giugno 2015, protocollo n. 0045428/15.

  • Somministrazione di lavoro a tempo determinato Ferme restando le ragioni di instaurazione di contratti di somministrazione a tempo determinato previste dalla normativa vigente, le parti convengono che l’utilizzo complessivo di tutte le tipologie di contratto di somministrazione a tempo determinato non potrà superare il 15% annuo dell’organico a tempo indeterminato in forza nell’unità produttiva, ad esclusione dei contratti conclusi per la fase di avvio di nuove attività di cui all’art. 67 e per sostituzione di lavoratori assenti con diritto alla conservazione del posto. Nelle singole unità produttive che occupino fino a quindici dipendenti è consentita in ogni caso la stipulazione di contratti di somministrazione a tempo determinato per due lavoratori. Nelle singole unità produttive che occupino da sedici a trenta dipendenti è consentita in ogni caso la stipulazione di contratti di somministrazione a tempo determinato per cinque lavoratori. Nelle unità produttive che occupino fino a quindici dipendenti è consentita in ogni caso la stipulazione complessivamente di contratti a tempo determinato o somministrazione per sei lavoratori.

  • PRESENTAZIONE DELL’OFFERTA Tutti gli Operatori economici aggiudicatari dell’AQ, dovranno presentare offerta per la presente Richiesta di offerta di AS. Tutti i documenti relativi alla presente procedura, fino all’aggiudicazione, dovranno essere inviati alla stazione appaltante, esclusivamente per via telematica attraverso il “Sistema”, in formato elettronico ed essere sottoscritti, a pena di esclusione, con firma digitale di cui all’art. 1, comma 1, lett. s), del D.Lgs. n. 82/2005 e ss.mm.ii.. L’offerta, redatta in lingua italiana, dovrà essere fatta pervenire dal concorrente alla Committente, attraverso il “Sistema”, entro e non oltre il termine perentorio delle ore 13:00 del giorno 05/10/2020, pena l’irricevibilità dell’offerta e, comunque, la non ammissione alla procedura. L’ora e la data esatta di ricezione delle offerte sono stabilite in base al tempo del “Sistema”. Il tempo del “Sistema” è il tempo ufficiale nel quale vengono compiute le azioni attraverso il “Sistema” medesimo e lo stesso è costantemente indicato a margine di ogni sua schermata. In particolare, il tempo del “Sistema” è sincronizzato sull’ora italiana riferita alla scala di tempo UTC (IEN), di cui al D.M. 30 novembre 1993, n. 591. L'accuratezza della misura del tempo è garantita dall’uso, su tutti i server, del protocollo NTP che tipicamente garantisce una precisione nella sincronizzazione dell'ordine di 1/2 millisecondi. Le scadenze temporali vengono sempre impostate a livello di secondi anche se a livello applicativo il controllo viene effettuato dal sistema con una sensibilità di un microsecondo (10^-6 secondi). Sul sito xxx.xxxxxxxxxxxxxxx.xx, nell’apposita sezione relativa alla presente procedura, dovrà essere presentata l’offerta, secondo le modalità di seguito precisate, nel rispetto di quanto previsto nel Paragrafo 12 del Capitolato d’oneri dell’Accordo Quadro di riferimento, e nella quale dovranno essere predisposti ed inviati i documenti di cui al successivo Paragrafo 2 e segnatamente:
