2Jurisdiction. The parties submit to the non exclusive jurisdiction of courts of the state of Queensland and any courts that may hear appeals from those courts about any proceedings in connection with this agreement.

2Jurisdiction. Except as otherwise expressly provided in this Article 17 or unless the specific venue is otherwise identified in a statute which directly names or otherwise identifies its applicability to AOC, each Party irrevocably agrees that any legal action, suit or proceeding brought by such Party arising out of this Agreement must be brought solely and exclusively in the First Judicial District Court of Nevada, in Carson City and irrevocably accepts and submits to the sole and exclusive jurisdiction of each of the aforesaid courts, in personam, generally and unconditionally; provided, however, that this Section 17.2 shall not prevent a Party against whom any legal action, suit or proceeding is brought by the other Party in the state courts of the State of Nevada from seeking to remove such legal action, suit or proceeding, pursuant to applicable federal Law, to the United States District Court for the District of Nevada, and in the event an action is so removed each Party irrevocably accepts and submits to the jurisdiction of the aforesaid district court.

The research process for each Video Brief will comprise of the following key elements: Confirm questions; Approval and sign off of questions by the Authority; gain parental consent for children’s participation in the Videos and any part of the Deliverables; Questions researched and referenced, ensuring that national standards and guidance are adhered too and appropriate accredited research used, so that expensive re-shoots are not necessary; Parents and their experience representing a variety of diverse backgrounds (ethnicity, social class) are included; Detailed brief (script) drawn up; Clinical/professional sign off by a suitable and appropriately qualified and experienced clinician or early years professional; Gain The Authority’s sign-off for video briefs before moving to production stage. 2Jurisdiction. With respect to any legal action or proceedings that may be brought with respect to this Deed or any transaction contemplated by this Deed (each, a Relevant Action), the Mortgagor irrevocably: (a)submits to and accepts, for itself and in respect of its assets, generally and unconditionally the non-exclusive jurisdiction of any of the courts of or in New York (State and Federal), or of the States of Victoria or New South Wales, Australia or of the Commonwealth of Australia selected by the Mortgagee; and (b)waives any objection it may have now or in the future to the venue and any claim it may have now or in the future that the Relevant Action has been brought in an inconvenient forum; and (c)consents to the service of process out of any of those courts by the mailing of copies of process by registered or certified airmail postage prepaid to it at its address for service of notices under Clause 30 or to its process agent at its address provided in Clause 32.3, in which case service will be taken to have been effected on receipt. Nothing in this Deed affects the right to serve process in any other manner permitted by law.
