Information Relating to the Company. (a) In addition to any information required to be provided pursuant to Section 6.7 or Section 6.10, the Company shall supply to a Member as soon as reasonably practicable after written request therefor any information required to be available to the Members under the LLC Act and any other information reasonably requested by such Member regarding the Company or its activities (including copies of all books and accounts, documents and other information in order to enable such Member to monitor its investment in the Company, exercise its rights under this Agreement and such other information as may be reasonably required to enable such Member to account for its investment in the Company and otherwise comply with the requirements of applicable laws, GAAP, the generally accepted accounting principles or other accounting requirements of any Member and the requirements of any Government Authority), provided that obtaining the information requested is not unduly burdensome to the Company (it being understood that any information necessary for a Member to account for its investment in the Company under the generally accepted accounting principles or other accounting requirements applicable to such Member shall not be deemed unduly burdensome).

Information Relating to the Company. The principal business of the Company includes property development and property related investments in the PRC. INFORMATION RELATING TO SOLAR LEADER The principal business of Solar Leader includes investment holding and properties development. INFORMATION RELATING TO NWD The principal business of NWD includes investments in the area of property, infrastructure, services and telecommunications and technology. DISCLOSEABLE AND CONNECTED TRANSACTION According to the Listing Rules, as the consideration ratio (as defined in Rule 14.07 of the Listing Rules) is more than 5% but less than 25%, the Participation Agreement constitutes a discloseable transaction for the Company which is subject to notification and publication requirements as set out in Rules 14.34 to 14.39 of the Listing Rules. As at the date of this announcement, NWD held an attributable interest of approximately 70% in the issued share capital of the Company and Solar Leader was a wholly-owned subsidiary of NWD, the Participation Agreement therefore also constitutes a connected transaction for the Company. As each of the relevant percentage ratios (as defined in Rule 14.07 of the Listing Rules) is more than 2.5%, the Participation Agreement is subject to the reporting, announcement and independent shareholders’ approval requirements under Rule 14A.32 of the Listing Rules. Relevant details will also be included in the next published annual report and accounts of the Company in accordance with Rule 14A.45 of the Listing Rules. NWD and its associates (as defined in the Listing Rules) will abstain from voting on the resolution to approve the Participation Agreement at the EGM and such resolution will be taken on poll pursuant to the Listing Rules.

The Company is principally engaged in the development and operation of power plants, the sale of electricity and thermal power, and the repair, testing and maintenance of power equipment and power-related technical services, with its main service areas being in the PRC. INFORMATION RELATING TO CDC CDC is a state-owned enterprise; its main scope of operations includes the development, investment, construction, operation and management of power energy; organisation of power (thermal) production and sales; power technology development and consultation, and so forth.
Information Relating to the Company. The Company is principally engaged in the manufacture and sales of refrigerators and air- conditioners.
