For the avoidance of doubt, the exercise by Dell of any its rights pursuant to the Modular Reseller License Agreement and Acceptable Use Policy shall not constitute a breach of this Agreement by Dell. Dell shall endeavour to give Customer prior notice of the exercise of such rights.
