Accountant's Review. If, at the conclusion of the Resolution Period, there are amounts remaining in dispute with respect to the calculation of the Closing Adjustment Amounts as to which a valid Dispute Notice has been timely delivered to BlackRock, BlackRock and MLIM Parent shall jointly retain such internationally-recognized independent accounting firm as BlackRock and MLIM Parent may mutually agree (the “Accountant”) to resolve any remaining issues set forth in the Dispute Notice. The Accountant shall conduct its review of such issues, any related work papers of the parties or their accountants and any supporting documentation, and hear such presentations by the parties, as the Accountant deems necessary.
Accountant's Review. Xxxxxxxx Shareholders shall have the right to nominate an independent accountant reasonably acceptable to KAL, to have access to the records of KAL during reasonable business hours, for purposes of verifying, at Xxxxxxxx Shareholders’ expense, the payments due to Xxxxxxxx Shareholders.

An accountants' review of the books and records ------------------- of the Borrower and its Subsidiaries prepared by a "Big Five" accounting firm selected by the Agent, dated as of a recent date prior to the Closing Date and otherwise in form and substance reasonably satisfactory to the Agent;

ColorSmart shall have received from _______________ a letter to the effect that on the basis of their "acquisition review" of MAGNUM, not constituting a full audit, nothing has come to their attention which has caused them to believe that the accounts or balances to which they applied their procedures should be adjusted.
Accountant's Review. APL will permit Xxxxxx'x accountants to review the Guam Financial Information and to take an inventory of the physical assets of the Guam Service as of the Implementation Date (or, in lieu thereof, to take an inventory prior to the Implementation Date and to do such testing or sampling at the Implementation Date as may be necessary to determine the continued validity of such inventory). APL will request APL's accountants to permit Xxxxxx'x accountants to review the work papers of APL's accountants relating to APL and its Affiliates, insofar as they cover matters relating to the Guam Service. The provisions of the Confidentiality Agreement shall apply to all documents and information reviewed, obtained or generated by, Xxxxxx'x accountants pursuant to this SECTION 6.3(b).

NRAD shall have received from Xxxxxxx, Xxxxxxxxx & Xxxxxxx, CPAs, a letter to the effect that on the basis of their "acquisition review" of Daraka and Ives, not constituting a full audit, nothing has come to their attention which has caused them to believe that the accounts or balances to which they applied their procedures should be adjusted.
Accountant's Review. Seller shall permit independent certified public accountants designated by Purchaser to review the Books and Records (including without limitation all financial statements included therein). Seller shall request Ernst & Young to permit such designated firm to review the work papers of Ernst & Young relating to Seller and its affiliates, insofar as they cover matters relating to the Division or the Assets.

Xxxxxxxxxx.xxx shall have received a letter from the CPA Firm to the effect that on the basis of their "acquisition review" of Display Arts, nothing has come to their attention which has caused them to believe that the accounts or balances to which they applied their procedures should be adjusted.
Accountant's Review. Intersect shall have the right to nominate an independent accountant reasonably acceptable to Abdominis, to have access to the records of Abdominis during reasonable business hours, not more than one time per year for the purpose of verifying, at Intersect’s expense (unless Abdominis’ payment accountings are more than five percent (5%) at variance with Abdominis' records then Abdominis shall pay), the payments due to Intersect. Abdominis may request that such accountant hold all information received in confidence except as provided in the following sentence, including requiring the execution of a Confidentiality Agreement. Such accountant shall disclose to Intersect only information relating to the accuracy of the payment reports and payments made according to this Agreement. ARTICLE V

Alverdy shall have the right to nominate an independent accountant reasonably acceptable to Abdominis, to have access to the records of Abdominis during reasonable business hours, not more than one time per year for the purpose of verifying, at Alverdy’s expense (unless Abdominis' payment accountings are more than five percent (5%) at variance with Abdominis' records then Abdominis shall pay), the payments due to Alverdy. Abdominis may request that such accountant hold all information received in confidence except as provided in the following sentence, including requiring the execution of a Confidentiality Agreement. Such accountant shall disclose to Alverdy only information relating to the accuracy of the payment reports and payments made according to this Agreement. ARTICLE V
