Accounting and Audit Matters. (a) The Borrower should maintain books of accounts as is required to be maintained under Applicable Law and the Financing Documents and such books of accounts as are adequate should correctly reflect the financial condition and scale of operations of the respective Obligor which shall contain full, true and correct entries in conformity with GAAP consistently applied and all requirements of Applicable Law. Accounting and Audit MattersSeller shall provide Buyer, to the extent reasonably requested by Buyer, with copies of (i) historical financial information relating to the Business, (ii) work papers of Seller's independent auditors relating to the Business, (iii) access for Buyer and its independent auditors to other accounting books and records of Seller relating to the Business, all to the extent that Buyer and its independent auditors reasonably request the foregoing in connection with preparation of financial statements required by the Securities Act of 1933, as amended, the Securities Exchange Act of 1934, as amended, Regulation S-X promulgated thereunder and other accounting and auditing rules, regulations and policies of the Securities and Exchange Commission. Seller shall provide the foregoing for so long as required by the parties to comply with the laws, rules and regulations referred to above.
Accounting and Audit Matters. There shall have been satisfactorily completed all necessary and required accounting and audit matters relating to the Business, Assets and Excluded Assets of the Seller, which shall, if required by any Governmental Authority, be reflected in audited financial statements prepared in accordance with generally accepted accounting principles consistently applied, which financial statements may, if required, be included in the Registration Statement and Prospectus which relates to the Preferred and Common Stock of LIFE. In connection with the preparation of the Registration Statement and the Prospectus, such accounting and audit matters to be completed prior to the Closing Date shall include the preparation of the pro forma financial information relating to the Seller as required to be included in the Prospectus by Item 901 et seq of Regulation S-K of the Commission. The Executive Committee of the Seller shall extend all necessary cooperation with respect to the completion of such accounting and audit matters, including any required audited financial statements and the pro forma financial information required to be included in the Prospectus. All of such accounting, audit and financial statement preparation matters shall be carried out by independent certified public accountants selected by LIFE and the expense of such process shall be paid by LIFE.
Accounting and Audit Matters. On and subsequent to the Effective Date and to the Closing Date, LIFE shall undertake all appropriate and necessary action in order to initiate, conduct and complete all accounting and audit matters required and necessary in connection with the consummation of the Asset sale-purchase transaction governed by this Agreement and as such relates to the preparation of audited financial statements relating to LIFE and to the Seller, as well as pro forma financial information relating to LIFE and the Seller as such financial information and related financial statements are required to be included in the Registration Statement and the Prospectus.

  • ACCOUNTING AND AUDIT The Agency shall utilize and maintain such records and practices regarding receipts and disbursements of the Funds as to be in accordance with generally accepted accounting principles. All such records shall be open to inspection and audit by the City or by the City's designee during normal business hours during the term hereof and for a period of three (3) years after the termination of this Agreement. Any cost incurred by the Agency as a result of a City audit shall be the sole responsibility of and shall be borne by the Agency. In addition, should the Agency provide any or all of the Funds to sub-recipients, then and in that event the Agency shall include in written agreements with such sub-recipients a requirement that records of the sub-recipient be open to inspection and audit by the City or the City's designee to the same extent as those of the Agency.

  • Accounting and Tax Matters The General Partner shall keep proper and usual books and records pertaining to the Partnership’s business in accordance with generally accepted accounting principles. The books and records and all files of the Partnership shall be kept at its principal office. The General Partner shall prepare and furnish to the Limited Partners promptly after the close of each fiscal year an unaudited statement, certified by the General Partner, showing the operations of the Partnership for such fiscal year, including a balance sheet and statement of income or loss and changes in financial position for such fiscal year, the balance of each Limited Partner’s Capital Account, the unpaid balance due under all obligations of the Partnership and all other information reasonably requested by any Partner. Federal, state and local income tax returns of the Partnership shall be prepared and timely filed by the General Partner. Copies of the tax returns shall be furnished to the Limited Partners prior to filing thereof. The General Partner is hereby designated the tax matters partner of the Partnership.

  • Certain Accounting Matters (a) At all times during the existence of the Trust, the Administrative Trustees shall keep, or cause to be kept at the principal office of the Trust in the United States, as defined for purposes of Treasury Regulations section 301.7701-7, full books of account, records and supporting documents, which shall reflect in reasonable detail each transaction of the Trust. (c) The Trust shall maintain one or more bank accounts in the United States, as defined for purposes of Treasury Regulations section 301.7701-7, in the name and for the sole benefit of the Trust; provided, however, that all payments of funds in respect of the Notes held by the Property Trustee shall be made directly to the Payment Account and no other funds of the Trust shall be deposited in the Payment Account. The sole signatories for such accounts (including the Payment Account) shall be designated by the Property Trustee.

Notwithstanding the foregoing, all obligations of any person that are or would be characterized as operating lease obligations in accordance with GAAP on the B34 Facility Amendment Date (whether or not such operating lease obligations were in effect on such date) shall continue to be accounted for as operating lease obligations for the purposes of this Agreement regardless of any change in GAAP following the B34 Facility Amendment Date that would otherwise require such obligations to be recharacterized (on a prospective or retroactive basis or otherwise) as capital leases.

  • Monitoring and Audit Seller shall provide information on available audit logs and reports relating to cyber and physical and security. Company may audit Seller's records to ensure Seller's compliance with the terms of this Section 1(b)(iii)G (Critical Infrastructure Protection) of this Attachment B (Facility Owned by Seller), provided that Company has provided reasonable notice to Seller and any such records of Seller's will be treated by Company as confidential.

  • ACCOUNTS AND AUDIT 18.1 The Supplier shall keep proper and accurate books and records, including all invoices, receipts and vouchers, relating to the Services and all expenditures and commitments made in connection therewith. The Supplier shall make such books and records available to the Local Government for review or audit within ten (10) days following receipt of a request from the Local Government to do so. The Supplier agrees that it shall retain all such books and records and make them available for review or audit by the Local Government for a period of three (3) years after the date of final payment by the Local Government hereunder. Any review or audit by the Local Government pursuant to this Section 18.1 shall be carried out by the Local Government at the Local Government’s expense.
