Actions of Managing Member; Deadlock. If there is more than one Managing Member, any action permitted to be taken by the Managing Member on behalf of the Company may be taken by any one of such Managing Member acting alone; provided, however, that in the event any other Managing Member is opposed to taking such action, the action may only be taken with the approval of the Members holding a majority of the issued and outstanding Units, regardless of whether such Units are Investor Member Units or Managing Member Units.

  • Procedures of the Joint Committee 1. For the proper implementation of this Agreement, the Joint Committee shall meet at an appropriate level whenever necessary upon request but at least once a year. Either Party may request a meeting be held.
