Provider Materials definition

Provider Materials means the Service Software, Specifications, Documentation and Provider Systems and any and all other information, data, documents, materials, works and other content, devices, methods, processes, hardware, software and other technologies and inventions, including any deliverables, technical or functional descriptions, requirements, plans or reports, that are provided or used by Provider or any Subcontractor in connection with the Services or otherwise comprise or relate to the Services or Provider Systems. For the avoidance of doubt, Provider Materials include Resultant Data and any information, data or other content derived from Provider's monitoring of Customer's access to or use of the Services, but do not include Customer Data.
Provider Materials means the specifications, documentation (including Documentation), application programing interfaces (APIs) and other interfaces, nonpublic or proprietary data import routines, sample code and materials provided to Company to enable Company to perform its obligations or exercise its rights under the Agreement, including integration to the Services.
Provider Materials means the Services, Documentation, and Provider Systems and any and all other information, data, documents, materials, works, and other content, devices, methods, processes, hardware, software, and other technologies and inventions, including any deliverables, technical or functional descriptions, requirements, plans, or reports, that are provided or used by Provider or any Subcontractor in connection with the Services or otherwise comprise or relate to the Services or Provider Systems. Examples of Provider Materials in a sentence

  • Service Provider grants Customer no right, title, interest, or license in the Service Provider Materials except as expressly set forth herein, and any use of the Service Provider Materials will inure to Service Provider’s benefit.

  • Service Provider will retain all right, title, and interest in and to any Service Provider Materials (including all patent, trademark, copyright, trade secret, and other intellectual property rights therein), and Customer hereby assigns to Service Provider any right, title, and interest it may otherwise have or claim in or to any Service Provider Materials.

Provider Materials means the Service and any documentation relating to the Service.

Provider Materials means information authored solely by Provider (excluding the Deliverables).

Provider Materials means any other Intellectual Property Rights, information and materials (including advertising content), provided by or on behalf of the Provider to Pebble;
Provider Materials means all written materials produced or authorized by the MCO or its Administrative Services Subcontractors concerning the Program that are distributed to Providers.
Provider Materials means proprietary methodologies, tools, models, software, procedures, documentation, know-how and processes owned or licensed by Provider independent of this Agreement which (a) are utilized by Provider in performing its obligation under this Agreement, (b) have been clearly identified to Company in writing as proprietary to Provider and not to be property of Company, and (c) were not designed or otherwise created for Company or based on, or derived from, any Company Confidential Information.
