Administrative Agent's Fees; Arranger Fee. The Borrower shall pay to the Administrative Agent for its own account and to Wachovia Securities and Citigroup Global Markets, Inc., in their capacity as Co-Lead Arrangers, for their own account, fees in the amounts and at the times agreed upon between the Borrower, the Administrative Agent and Wachovia Securities, respectively, pursuant to the Fee Letter, and between the Borrower and Citigroup Global Markets, Inc. pursuant to that certain letter agreement dated as of May 14, 2003.
